Sub: Intimation of Annual General Meeting and E-Voting
Notice is hereby given that the 45th Annual General Meeting (‘AGM’) of the Company will be held on
Thursday, August 27, 2026 at 11.30 a.m. through Video Conferencing / Other Audio Visual Means (VC
/ OAVM).
The Ministry of Corporate Affairs (“MCA”) permitted holding of the AGM through VC/OAVM,
without physical presence of the Members at a common venue. Accordingly, in compliance with the
MCA Circulars, AGM of the Company is being held through VC/OAVM. The Registered Office of the
Company shall be deemed to be the venue for the AGM. General Circular Nos. 14/2020 dated April 8,
2020 and 17/2020 dated April 13, 2020, in relation to “Clarification on passing of ordinary and special
resolutions by companies under the Companies Act, 2013”, General Circular Nos. 20/2020 dated May
5, 2020 and subsequent circulars issued in this regard, the latest being 03/2025 dated September 22,2025,
collectively referred to as “MCA Circulars”, the 45th AGM of the Company is being conducted through
VC/OAVM facility, without physical presence of members at a common venue. The deemed venue for
the 45th AGM shall be the Registered Office of the Company.
Further, in accordance with the aforesaid MCA Circulars and SEBI Circulars, the Annual Report along
with the Notice of the AGM is being sent only by electronic mode to those Shareholders whose email
addresses are registered with the Company’s RTA/Depositories/Depository Participants. The Annual
Report including the Notice of the AGM will be sent through email to the members on or before August
04, 2026.
In compliance with the provisions of Section 108 of the Companies Act, 2013 read with Rule 20 of the
Companies (Management and Administration) Rules, 2014 as amended and the provisions of Regulation
44 of the SEBI Listing Regulations, the Members are provided with the facility of remote e-voting to
cast their vote electronically on all resolutions proposed in the Notice convening the 45th AGM for which
the Company has engaged the services of National Securities Depository Limited (NSDL) as e-voting
agency.

The remote e-voting period commences on Monday, August 24, 2026 at 9.00 a.m. (IST) and ends on
Wednesday, August 26, 2026 at 5.00 p.m. (IST). The cut-off date for determining the eligibility for
remote e-voting shall be Thursday, August 20, 2026.
Pursuant to Regulation 34 (1) of SEBI Listing Regulations, the Annual Report of the Company for the
Financial Year 2025-26 including the Notice of AGM is enclosed herewith which is also available on
