Disclosure Requirements) Regulations, 2015, as amended (the “Listing Regulation”).
Dear Sir(s),
Pursuant to Regulation 30 read with Schedule III and other applicable provisions of the SEBI Listing Regulations, we
hereby inform you that the Board of Directors of the Company has at their meeting held today, i.e. Monday, 03rd
August, 2026 approved the following:
With reference to our earlier intimation 4th April, 2025 regarding the Scheme of Arrangement under Sections 230 to
232, Section 66 and other applicable provisions of the Companies Act, 2013 (“Act”) involving the:
a. Amalgamation of Inventure Finance Private Limited (“IFPL” / “Transferor Company 1”/ “Material Subsidiary
of Company”), Inventure Commodities Limited (“ICL” / “Transferor Company 2”), Inventure Insurance
Broking Private Limited (“IIBPL” / “Transferor Company 3”), Inventure Developers Private Limited (“IDPL” /
“Transferor Company 4”) (“collectively referred to as the “Transferor Companies”) into and with Inventure
Growth and Securities Limited (“IGSL” / “Transferee Company” / “Demerged Company”) (“Amalgamation”);
b. Immediately after coming into effect of the Amalgamation as stated above, demerger, vesting and transfer
of ‘Lending Business Undertaking’ of Inventure Growth and Securities Limited (“Demerged Company”) into
Inventure Wealth Management Limited, (“IWPL” / “Resulting Company”), a wholly owned subsidiary of the
Demerged Company;
With effect from the Appointed Date viz. beginning of day on April 1, 2025 (“Scheme”).
The Board of Directors, at its meeting held today, approved the voluntary withdrawal of the said Scheme.
The Proposed Scheme had received the No Objection Letters from BSE Limited and National Stock Exchange of India
Limited. The implementation of the Scheme was however subject to receipt of all applicable statutory Approvals,
including the approval from Reserve Bank of India (RBI) applicable to transferor and resulting Company which is resulting
NBFC.
Since the requisite approval from Reserve Bank of India (RBI) has not been received and the scheme cannot be
implemented in the absence of such approval, the Board of Directors has, after due consideration, decided not to
proceed with the proposed Scheme of Arrangement and accordingly approved the withdrawal of the Scheme.
As the Scheme has not been filled before the Honorable National Company Law Tribunal, no proceedings are pending
before the Tribunal in relation to the Scheme.
Withdrawal of the Scheme has no financial impact on the Company.
The above shall also be made available on the website of the Company at www.inventuregrowth.com.
