Ref.: Pursuant to the Composite Scheme of Amalgamation and Arrangement amongst Gujarat State Petroleum Corporation Limited (GSPC), Gujarat State Petronet Limited (GSPL), GSPC Energy Limited (GSPC Energy), Gujarat Energy Limited (Erstwhile Gujarat Gas Limited) (GEL) and GSPL Transmission Limited (GTL) ("Scheme"), which became effective pursuant to the MCA Order dated 8th April, 2026 received on 17th April, 2026, GSPC, GSPL and GSPC Energy Limited stood amalgamated with and into GEL with effect from 1st May, 2026 and dissolved without winding up. Dear Sir/Madam, We, Gujarat State Energy Generation Limited (GSEG), hereby submit this request to Gujarat Energy Limited (Erstwhile Gujarat Gas Limited) ("the Company" / "GEL") seeking the reclassification of GSEG from the category of "Promoter" to "Public Shareholder" in accordance with the provisions of Regulation 31A of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 201 ~ (SFRT T. istine Rpe111"tions). A. Background and Rationale: 1. GSEG is Promoter of the Company since 2015 and presently holds 13,32,235 of Equity Shares representing 0.14('l\) of total paid up equity share capital of Gujarat Energy Limited. 2. Upon the Scheme becoming effective, the Equity Shares of GSEG held by GSPC (64.50%) and GSPL (0.94%) were transferred to GEL. Consequently, GEL now holds 65.44% of the Equity Share Capital of GSEG. As a result, GSEG, while continuing to be classified as a Promoter of GEL, has become a subsidiary of GEL. 3. In view of the current complex corporate structure, wherein GSEG functions both as a subsidiary of GEL and as a Promoter of GEL, GSEG intends to seek reclassification from the Promoter category to the Public category in order to simplify the corporate structure. The proposed reclassification will not result in any change in the shareholding pattern, voting rights, control or management of the Company. 4. We understand that the Equity Shares of GEL are listed on the BSE Limited (BSE) and National Stock Exchange of India Limited (NSE) and the Company is required to comply with applicable provisions of SEBI Listing Regulations and other SEBI Regulations. rat, India. 5. GSEG is not involved in the management of the Company. Further, GSEG does not exercise any control over the affairs or decision-making processes of the Company and does not enjoy any special rights in th Company through any formal or informal arrangement, including any shareholders' agreement. Further, GSEG is not r pres nted on the Board of Directors of the Company. B. Undertaking: 1. As required under Regulation 31A (3)(b) of SEBI Listing Regulations, we hereby confirm that neither we or nor any person related to us: a. together, hold more than ten percent of the total voting rights in GEL b. exercise control over the affairs of GEL directly or indirectly; c. have any special rights with respect to GEL through formal or informal arrangements including through any shareholder agreements; d. are represented on the Board of Directors (including not having a Nominee Director) of GEL; . e. act as Key Managerial Personnel in GEL; f. are 'wilful defaulter' as per the Reserve Bank of India Guidelines; and are fugitive economic offender. 2. We hereby undertake as follows: a. We shall continue to comply with conditions mentioned at sub clauses (i), (ii) and (iii) of Regulation 31A(3)(b) of SEBI Listing Regulations at all times from the date of reclassification; b. We shall comply with the conditions mentioned at sub clauses (iv) and (v) of Regulation 31A(3)(b) of SEBI Listing Regulations for a period of not less than three years from the date of reclassification; C. Request for reclassification: In view of above, we request the Board of Directors to consider and approve our request to reclassify Gujarat State Energy Generation Limited from the category of "Promoter" to "Public Shareholder" in accordance with the Regulation 31A of SEBI Listing Regulations and take all necessary steps in this regard. Further, we shall provide all necessary information / documents as may be required with respect to the re-classification, as and when required, to facilitate the process.
