Scrip Code: 540975 Scrip Symbol: ASTERDM Dear Sir/ Madam, Sub: Intimation of order passed by the Hon’ble National Company Law Tribunal, Hyderabad Bench, approving the Scheme of Amalgamation Ref: Our letter dated April 2, 2026, and Regulation 30 read with Schedule III of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (“Listing Regulations”) Further to our letter dated April 2, 2026, on the above subject, we wish to inform you that the Hon’ble National Company Law Tribunal, Hyderabad Bench ("NCLT") has sanctioned the Scheme of Amalgamation between Quality Care India Limited (“QCIL” / “Transferor Company”) and Aster DM Healthcare Limited (“Aster DM” / “Transferee Company”) and their respective shareholders and creditors under Section 230 to 232 and other applicable provisions of the Companies Act, 2013 by its order passed today i.e., 19 June 2026. A certified copy of the NCLT Order is awaited. The Scheme shall become effective upon filing the certified copy of the aforesaid order with the Registrar of Companies by the respective companies and satisfaction of other conditionalities mentioned in the Scheme. Upon the Scheme becoming effective, QCIL shall stand being dissolved without winding up. The Company will intimate the Effective Date to the Stock Exchanges in due course.
