(1ST) through Video Conferencing ('VC')/ Other Audio-Visual Means ('OAV M') Dear Sir, We, CS Vineet K. Chaudhary (Membership No. F5327 and C.P. No: 4548) and CS Deepak Kukreja (Membership No. F4140 and C.P. No. 8265), Company Secretaries in whole time practice, were appointed as Scrutinizers to scrutinize and ascertain the requisite majority on the Resolutions proposed to be passed through the remote e-voting process as well as thee-voting conducted at the AGM (collectively referred to as 'e-voting facility'). The e-voting facility was provided to the members in accordance with the provisions of Section 108 and other applicable provisions, if any, of the Companies Act, 2013 ( hereinafter referred to as 'the Act') and Rule 20 of the Companies (Management and Administration) Rules, 2014 (as amended) read with Ministry of Corporate Affairs ('MCA') General Circular No. 14/2020 dated 8 April 2020, General Circular No.17/2020 dated 13 April 2020, General Circular No. 20/2020 dated 5 May 2020, General Circular No. 02/2021 dated 13 January 2021, General Circular No. 21/2021 dated 14 December 2021, General Circular No. 2/2022 dated 5 May 2022, General Circular No. 10/2022 dated 28 December 2022, General Circular No. 9/2023 dated 25 September 2023, General Circular No. 9/2024 dated 19 September 2024 and General Circular No. 03/2025 dated 22 September 2025 (c ollectively referred to as 'MCA Circulars') permitting to conduct the AGM through VC or OAV M, without the physical presence of the members at a common venue and Regulation 44 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 ('SEBI Listing Regulations'). Service Provider 1. The Company has availed the services of National Securities Depository Limited ('NSDL') for facilitating e-voting to enable the members to cast their votes electronically using remote e-voting system as well as e-voting during the AGM on all the business items transacted at the AGM of the Company. Management's Responsibility 2. The Management of the Company is responsible for ensuring the compliances of the Act read with the rules made thereunder, SEBI Listing Regulations, MCA Circulars or any other provisions, as applicable in connection with the AGM of the Company. The Management of the Company is also responsible for ensuring a secured framework and robustness of the electronic voting system. Scrutinizer's Responsibility 3. Our responsibility as Scrutinizers for the e-voting facility is restricted to make a Consolidated Scrutinizer's Report in a fair and transparent manner of the votes cast 'in favour' or 'Against' the Resolution(s) stated in the Notice of the AGM dated 13 May 2026, based on the reports generated from the e-voting system ofNSDL and documents furnished to us electronically by the Company for our verification. Notice in electronic mode 4. The Notice calling the AGM was sent to all the Members/ Beneficiaries electronically on 11 July 2026, whose e-mail ID was registered in accordance with the provisions of the Act read with Rules made thereunder together with the MCA Circulars and SEBI Listing Regulations. 5. Further, a letter providing the web-link, QR Code and the exact path to access the Annual Report including notice of AGM for FY 2025-26 was sent to those Members whose e-mail ID was not registered with the Company or Depositories, in accordance with the provisions of SEBI Listing Regulations. cut-off date 6. The Members of the Company as on the 'cut-off date' fore-voting facility i.e. Monday, 27 July 2026, were entitled to avail the e-voting facility on the proposed resolutions (Item Nos. 1 to 5) as set out in the Notice of the AGM. Remote e-voting process 7. The remote e-voting period commenced from Thursday, 30 July 2026 at 9.30 A.M. (1ST) and ended on Sunday, 2 August 2026 at 5.00 P.M. (1ST). The remote e-voting module was disabled by NSDL thereafter. Newspaper Advertisements 8. Pursuant to applicable provisions of MCA Circulars, the Company had published the Newspaper advertisements in 'Financial Express' (English) and 'Jansatta' (Hindi) both dated Friday, 10 July 2026, prior to commencement oft he dispatch oft he Notice calling AGM. 9. Pursuant to Rule 20 of the Companies (Management and Administration) Rules, 2014, the Company had published the Newspaper advertisements in 'Financial Express' (English) and 'Jansatta' (Hindi) both dated Sunday, 12 July 2026, post completion of dispatch of the Notice calling AGM. E-yoting at the AGM 10. As this AGM of the Company held through VC/ OAVM on Monday, 3 August 2026, after considering all the business, the facility to vote electronically was provided to those members who are attending the meeting through VC/ OAV M but had not participated in the remote e-voting process and were not debarred otherwise, enabling them to cast their votes during the AGM. 11. After the closure of e-voting at the AGM, the e-voting conducted at the AGM and the remote e-voting conducted prior to the AGM were unblocked and were downloaded in the presence oft wo independent witnesses, Mr. Mohit K. Dixit and Mr. Ankit Tiwari who are not in the employment of the Company. Consolidated results of e-yoting facility 12. After scrutinizing and reviewing the report of remote e-voting conducted prior to the AGM and e-voting conducted at the AGM and votes cast therein based on the data downloaded from the NSDL e-voting Portal, we hereby submit the consolidated results of e-voting facility for the AGM as under: Resolution No. 1: Ordinary Resolution (a) Adoption of the Audited Financial Statements of the Company for the financial year ended 31 March 2026 together with the reports of the Board of Directors and Auditors thereon.
