Sub: Outcome of the Board Meeting
In furtherance of our intimation dated July 27, 2026, we hereby inform you that the Board of Directors of
the Company at its meeting held today, i.e. August 03, 2026, has, inter alia, considered and approved the
following:
(a) Unaudited Financial Results (Standalone & Consolidated) for the quarter ended June 30, 2026.
The aforesaid Financial Results along with Limited Review Reports of the Statutory Auditor are
attached and are also made available on the Company’s website at Financial Results - Borosil
Scientific.
(b) Modifications / amendments to the Company’s ESOP schemes viz. (i) Borosil Scientific Limited –
Special Purpose Employee Stock Option Plan 2023 (“SP-ESOP 2023”) and (ii) Borosil Scientific
Limited – Employee Stock Option Scheme (“BSL ESOS”), in accordance with the provisions of the
SEBI (Share Based Employee Benefits & Sweat Equity) Regulations, 2021 and the Companies Act,
2013, based on the recommendation of the Nomination and Remuneration Committee and subject to
the approval of the Members of the Company and other regulatory / statutory approvals as may be
necessary.
The aforesaid ESOP schemes are being amended mainly for following purposes:
• To arrange shares for Employee Stock Option (“Options”) holders upon exercise of Options,
either from primary issuance or secondary acquisition through Trust route. Currently, the
Company directly allots shares to Options holders by way of primary issuance. (for both
Schemes).
• To increase the maximum limit of discount percentage for grant of new Options from existing 10%
to 20% to the closing market price of shares one day prior to the date of grant of options (for BSL
ESOS).
The meeting of the Board of Directors commenced at 3:10 p.m. (IST) and concluded at 4:15 p.m. (IST).

Independent Auditor's Review Report on Unaudited Standalone Financial Results of the
Company Pursuant to the Regulation 33 of the SEBI (Listing Obligations and Disclosure
Requirements) Regulations, 2015

1 . We have reviewed the accompanying statement of unaudited standalone financial results
of Borosil Scientific Limited ("the Company") for the quarter 30th June 2026 ("the
statement"), attached herewith, being submitted by the Company pursuant to the
requirement of Regulation 33 of the SEBI (Listing Obligations and Disclosure Requirements)
Regulations, 2015 ("the Listing Regulation"), as amended.
2. This statement, which is the responsibility of the Company's management and approved by
the Company's Board of Directors, has been prepared in accordance with the recognition
and measurement principles laid down in Indian Accounting Standard 34, Interim Financial
Reporting (Ind AS 34) as prescribed under section 133 of the Companies Act, 2013 read
with relevant rules issued thereunder and other accounting principles generally accepted in
India. Our responsibility is to issue a report on the statement based on our review.
3. We conducted our review of the statement in accordance with the Standard on Review
Engagement (SRE) 2410, "Review of Interim Financial Information Performed by the
Independent Auditor of the Entity" issued by the Institute of Chartered Accountants of India.
This standard requires that we plan and perform the review to obtain moderate assurance
as to whether the statement is free of material misstatement. A review of interim financial
information consists of making enquiries, primarily of the Company's personnel responsible
for financial and accounting matters and applying analytical and other review procedures. A
review is substantially less in scope than an audit conducted in accordance with Standards
on Auditing specified under Section 143(10) of the Companies Act, 2013 and consequently
does not enable us to obtain assurance that we would become aware of all significant
matters that might be identified in an audit. Accordingly, we don't express an audit 9pinion.

to believe that the accompanying statement of unaudited standalone financial results,
prepared in accordance with the applicable accounting standards and other recognized
accounting practices and policies has not disclosed the information required to be disclosed
in terms of Regulation 33 of the Listing Regulations, as amended, including the manner in
• which it is to be disclosed, or that it contains any material misstatement.
