Considered and approved the Unaudited Financial Results (Standalone and Consolidated) for the quarter ended June 30, 2026. The unaudited financial results alongwith the Limited Review Report as received from the Statutory Auditors, is enclosed herewith as Annexure-I. 2. Approved the formation of a Special Purpose Vehicle (SPV) in form of a Private Limited Company having the main object of solar power generation for the Company’s captive power consumption, with an overall capital commitment, in one or more tranches, not exceeding Rs. 3.80 Crore (which shall meet the condition of minimum capital commitment of 26% of paid-up capital of the SPV, as per state regulatory norms). The requisite disclosures as per SEBI Master Circular dated January 30, 2026, is enclosed herewith as Annexure-II. 3. Based on the recommendation of the Nomination, Remuneration and Compensation Committee, the Board has approved the appointment of Mr. Vicky Chauhan (Membership number-A27729), as a Company Secretary and Compliance Officer (Key Managerial Personnel) of the Company with effect from August 18, 2026, in place of Mr. Arvind Kumar, Company Secretary and Compliance Officer of the Company, who has resigned from the said position effective from closing business hours of August 17, 2026. Further, the Board has noted the said resignation of Mr. Arvind Kumar.The copy of resignation letter tendered by Mr. Arvind Kumar is enclosed as Annexure-III. 4. Pursuant to the recommendation of the Audit Committee, approved the appointment of M/s. S.R. Batliboi & Co.
