However, Mr. Christopher Flood Nagle, shall continue his position as director in the said company. Mr. Christopher Flood Nagle has stated that due to his preoccupation and commitment to his family business, he shall not be able to continue with executive position and will be transitioning to Crizac Limited (the Holding Company) to assume the office of Additional Non-Executive Director and Chairman of the Board with effect from 03 August, 2026 and 04 August, 2026 respectively. The detailed disclosures as required under Regulation 30 of the Listing Regulations read with SEBI Master Circular no. HO/49/14/14(7)2025-CFD-POD2/I/3762/2026 dated January 30, 2026, are provided in “Annexure A” attached hereto. Further, as required under the aforesaid regulations, a copy of the resignation letter received from Mr. Christopher Flood Nagle, confirming that there are no material reasons for his resignation other than those stated therein, is enclosed herewith as Annexure B. Accordingly, I hereby tender my resignation from the position of Chief Executive Officer of Crizac Ltd, UK, with effect from the close of business hours on 2 August 2026. However I will continue as a director in Crizac Ltd, UK. Upon cessation of my executive role, I shall continue to be associated with the Holding Company by assuming the position of Non-Executive Director and Chairman of the Board, subject to the requisite approvals and completion of applicable corporate formalities. I hereby confirm that my resignation is solely for the reasons stated above, and there are no other material reasons for my resignation from the office of Chief Executive Officer other than those mentioned in this letter.
