(IST) through Video Conferencing /Other Audio Visual Means (VC/OAVM), without the physical presence of members at a common venue, in compliance with MCA & SEBI Circulars. Pursuant to provisions of Section 108 of the Companies Act, 2013 and Rule 20 of the Companies (Management and Administration) Rules, 2014, as amended and Regulation 44 of SEBI (Listing Obligations and Disclosure Requirements), Regulations, 2015 (“SEBI Listing Regulations”), the Company is pleased to provide members the facility to exercise their right to vote at the ensuing AGM by electronic means and the business may be transacted through e- Voting Services. The facility of casting the votes by the members using an electronic voting system from a place other than venue of the AGM (“remote e-voting”) will be provided by National Securities Depository Limited (NSDL). The facility for voting through remote e-voting shall also be made available at the AGM. The Notice is also available on the website of the Company (www.coforge.com) and National Securities Depository Limited (NSDL), www.evoting.nsdl.com inter alia indicating the process and manner of e-voting process. The e-voting period begins on Friday, August 21, 2026, at 09:00 A.M. (IST) and ends on Sunday, August 23, 2026, at 05:00 P.M. (IST). During this period shareholders of the Company may cast their vote electronically. The e-voting module shall also be disabled for voting thereafter. Once the vote on a resolution is cast by the shareholder, the shareholder shall not be allowed to change it subsequently. The voting rights of members shall be in proportion to their shares of the paid-up equity share capital of the Company as on the cut-off date of Monday, August 17, 2026. Any person, who acquires shares of the Company and become member of the Company after dispatch of the notice and holding shares as on the cut-off date may obtain the login ID and password by sending a request at evoting@nsdl.com or investor.helpdesk@in.mpms.mufg.com or investors@Coforge.com Further, in compliance with Regulation 34 of the SEBI Listing Regulations, please find attached the copy of Notice of AGM for your information and records. In terms of MCA Circulars, the Company has made arrangements with its Registrar & Share Transfer Agent for registration of email addresses of those shareholders who have not yet registered their email address.
