of the Company, at its meeting held today i.e. August 01st, 2026, has, inter alia, approved the
following:
1. Un-Audited Quarterly Financial Results (Standalone & Consolidated) along with
Limited Review Report for the quarter ended June 30, 2026:
The Un-Audited Quarterly Financial Results (Standalone & Consolidated) of the Company
for the quarter ended June 30,2026, along with the Limited Review Report thereon,
pursuant to Regulation 33 of the SEBI (Listing Obligations and Disclosure Requirements)
Regulations, 2015. (Annexure-A)
2. Resignation of M/s B R Gupta & Co., as the statutory auditors:
The statutory auditors of the Company, M/s. B R Gupta & Co., Chartered Accountants (Firm
Registration No.: 008352N), have tendered their resignation on August 01, 2026 from the
position of Statutory Auditors with immediate effect.
There are neither any concerns raised by the resigning auditor with respect to the
management of the Company nor there is a material reason for the resignation. Hence, no
deliberation on the same is required to be done by the Audit Committee and consequent
disclosure of Audit Committee’s view is not applicable.
A copy of the resignation letter received from M/s. B R Gupta & Co. along with details
required under Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements)
Regulations, 2015, read with SEBI Master Circular No. SEBI/HO/CFD/PoD2/CIR/P/0155
dated 11th November, 2024 and SEBI Master Circular No. HO/49/14/14(7)2025-CFD-
POD2/I/3762/2026 dated January 30th, 2026 is enclosed as (Annexure B).

3. Appointment of M/s Shilpi Sharma And Co. as the statutory auditors:
Based on the recommendation of the Audit Committee and subject to the approval of
shareholders of the Company, the Board of Directors of the Company has approved the
appointment of M/s. Shilpi Sharma and Co LLP, Chartered Accountants (Firm Registration
No. 021442N) as the Statutory Auditor of the Company-
i. to fill the casual vacancy caused by the resignation of M/s B R Gupta & Co.,
Chartered Accountants, from August 01, 2026 upto the ensuing AGM of the
Company; and
ii. to recommend the appointment of M/s. Shilpi Sharma and Co, Chartered
Accountants (Firm Registration No. 021442N) to the shareholders of the Company
for a term of five (5) consecutive years effective from the date of the ensuing AGM
of the Company upto 49th AGM of the Company.
The details as required under Regulation 30 of SEBI LODR read with SEBI Master
Circular No. SEBI/HO/CFD/PoD2/CIR/P/0155 dated 11th November 2024 and SEBI
Master Circular No. HO/49/14/14(7)2025-CFD-POD2/I/3762/2026 dated January
30th, 2026 are given hereunder as (Annexure C).

Independent Auditor's Review Report on Quarterly Unaudited Standalone Financial Results of the
Company Pursuant to the Regulation 33 of the SEBI (Listing Obligations and Disclosure
Requirements) Regulations, 2015, as amended.
The Board of Directors of Addi industries limited
1. We have reviewed the accompanying statement of unaudited standalone financial results of Addi
industries limited (‘the Company”) for the quarter year ended June 30, 2026 (the “Statement’), being
submitted by the Company pursuant to the requirements of Regulation 33 of the SEBI (Listing Obligation
and Disclosure Requirements) Regulations, 2015 as amended (‘the Regulation”), including relevant
circulars issued by SEBI from time to time (‘the Circulars”).
2. This Statement is the responsibility of the Company’s Management and has been approved by the Board
of Directors of the Company. The Statement has been prepared in accordance with the recognition and
measurement principles laid down in Indian Accounting Standard 34 (Ind AS 34), “Interim Financial
Reporting” prescribed under Section 133 of the Companies Act, 2013 (‘the Act’), as amended read with
relevant rules issued thereunder, the Circulars and other accounting principles generally accepted in India.
Our responsibility is to issue a report on the Statement based on our review.
3. We conducted our review of the Statement in accordance with the Standard on Review Engagements
(SRE) 2410, “Review of Interim Financial Information Performed by the Independent Auditor of the Entity”
issued by the Institute of Chartered Accountants of India. This standard requires that we plan and perform
the review to obtain moderate assurance as to whether the Statement are free of material misstatement. A
review is limited primarily to inquiries of company personnel and analytical procedures applied to financial
data and thus provide less assurance than an audit. We have not performed an audit and accordingly, we
do not express an audit opinion.
4. Based on our review conducted as above, nothing has come to our attention that cause us to believe that
the accompanying Statement, prepared in accordance with the recognition and measurement principles
laid down in the applicable Indian Accounting Standards (‘Ind AS") specified under Section 133 of the
Companies Act, 2013 as amended, read with relevant rules issued thereunder and other recognized
accounting practices and policies, has not disclosed the information required to be disclosed in terms of
the Regulation, read with the Circulars, including the manner in which it is to be disclosed, or that it
contains any material misstatement.
5. We draw attention to
a. Note 3 regarding the figures for the three months ended March 31, 2026 as reported in these
unaudited standalone financial results are the balancing figures between audited figures in respect of
the full previous financial year and the published year to date figures up to the third quarter of the
previous financial year. The figures up to the end of the third quarter of previous financial year had
only been reviewed and not subject to audit.
b. Note 4 in the standalone financial results, which specify that the Company is in process of exploring
the modalities to start new business venture, however the Company has not yet implemented the
same. This situation indicates the existence of material uncertainty that may cast significant doubt
about the Company’s ability to continue as a going concern. However, in view of future business
opportunities, having significant cash & bank balances with positive net worth, the management is of
the view that going concern basis of accounting is appropriate for preparation of the accompanying
standalone financial results.
Our conclusion is not modified in respect of these matters.
