Sub: Disclosure under Regulation 30 of the SEBI (Listing Obligations and Disclosure
Requirements) Regulations, 2015 – intimation to enter into a Joint Venture Partnership Firm.
Pursuant to Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements)
Regulations, 2015 ("SEBI Listing Regulations"), read with the SEBI Master Circular for compliance
with the SEBI Listing Regulations, we wish to inform you that the Board of Directors of the
Company, at its meeting held on August 01, 2026 has approved the proposal to enter into a Joint
Venture Partnership Firm under the name "URJAHAAR FOODS" with M/s Kota Dall Mill a
partnership firm.
The Company has entered into Joint Venture arrangement wherein it shall participate as the Second
Partner with a 49% share in the profits and losses of the Joint Venture. M/s Kota Dall Mill shall act as
the First / Managing Partner and shall hold remaining 51% share in the profits and losses of the Joint
Venture. Accordingly, the Joint Venture shall be managed by M/s Kota Dall Mill in its capacity as the
Managing Partner, in accordance with the terms and conditions of the Joint Venture Agreement.
The Company has approved a contribution of up to ₹49,00,000 (Rupees Forty-Nine Lakhs Only), in
cash and/or in kind as the capital contribution in the said Joint Venture in accordance with the terms
and conditions of the Joint Venture Partnership Deed.
The Joint Venture proposes to undertake the business of manufacturing and supplying recipe-based,
supplementary nutrition, micro-nutrient fortified, energy-dense and extruded food products to
institutional, Government, semi-Government, wholesale and retail buyers, including supplies to the
Bihar State Milk Co-operative Federation Ltd. (COMFED/"SUDHA").
The Board has also authorised Mr. Manmohan Saraf (DIN: 07246524), Director of the Company, to
execute the Joint Venture Partnership Deed and all ancillary documents and to complete all necessary
statutory, regulatory and commercial formalities in connection therewith.
The details as required under Regulation 30 of the SEBI Listing Regulations read with the SEBI
Master Circular are enclosed as Annexure – A.
