Consequent to his resignation, Mr. Mehta shall also cease to be a member of the Nomination and Remuneration Committee, Stakeholders’ Relationship Committee and Corporate Social Responsibility Committee of the Board of Directors of the Company with effect from July 31, 2026. The aforesaid Committees shall be reconstituted in due course in compliance with the applicable provisions of the Companies Act, 2013 and SEBI Listing Regulations. The Board of Directors places on record its sincere appreciation for the valuable contributions, leadership, guidance and support extended by Mr. Mehta during his tenure as Chairman and Executive Director of the Company. The Company has immensely benefitted from his rich experience, strategic vision and commitment towards the growth of the Company. The requisite details as required under Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 read with Schedule III thereof and SEBI Circular No. HO/49/14/14(7)2025- CFD-POD2/I/3762/2026 dated January 30, 2026 are enclosed herewith as Annexure I and the resignation letter received from Mr. Mehta is enclosed herewith. Further, Mr. Mehta has confirmed that there are no material reasons for his resignation other than those mentioned in his resignation letter.
