This is to inform that the 19th Annual General Meeting (AGM) of the Shareholders of Bank was held today i.e 31st July, 2026 at 03.00 p.m. (IST) through Video Conference (VC) or Other Audio Visual Means (OAVM). The following agenda items as mentioned in the AGM notice were transacted in the meeting:- Sr. Details of Agenda Items Type of Resolution 1 To discuss, approve and adopt the Audited Standalone and the Ordinary Resolution Consolidated Balance Sheet of the Bank as at 31st March 2026, Standalone and Consolidated Profit and Loss Account of the Bank for the Financial year ended 31st March 2026, together with the report of the Board of Directors and Auditors’ thereon. 2 To confirm the payment of 04 (four) Interim Dividends aggregating to Ordinary Resolution ₹1.20 (12%) per equity share having face value of ₹10 each of Bank for the financial year 2025-26 as declared and approved by Board of Directors of Bank. 3 To approve the appointment of Shri Baldeo Purushartha as Ordinary Resolution Government Nominee Director (Non- Executive) on the Board of the Bank. 4 To approve the extension of term of Shri M V Murali Krishna as an Ordinary Resolution Executive Director on the Board of the Bank. 5 To approve the appointment of Shri Kalyan Kumar as Managing Ordinary Resolution Director and Chief Executive Officer on the Board of the Bank. 6 To approve the appointment of Shri E. Ratan Kumar as an Executive Ordinary Resolution Director on the Board of the Bank. 7 To approve the appointment of Shri Chandradeep Kumar Jha as Ordinary Resolution Government Nominee Director (Non- Executive) on the Board of the Bank. 8 To consider raising of Equity capital aggregate upto ₹7000 crore Special Resolution through various modes such as QIP/FPO/Rights issue. As per Notice dated 23rd June, 2026, the 19th AGM of the Shareholders of the Bank commenced at 03.00 p.m. on 31st July, 2026 through VC/OAVM. In terms of Regulation 59(i) of the Central Bank of India (Shares and Meetings) Regulations, 1998, Shri Kalyan Kumar, Managing Director and CEO took the Chair. Necessary quorum in terms of Regulation 58(i) of the Central Bank of India (Shares and Meetings) Regulations, 1998 being present, the Chairman commenced the proceedings of the 19th Annual General Meeting of Bank. The Chairman welcomed the Shareholders present, and introduced the Directors present in the meeting. It was informed that the Notice convening the 19th AGM along with Integrated Annual Report of Bank for FY 2025-26 was sent to the Shareholders in the prescribed manner as well as Notice regarding same was published in the newspapers and also hosted on the website of the Bank and Stock Exchanges and same was taken as read. The Chairman further informed that Bank has not received any Authorized Representative (except from Government of India) from Shareholders under the public category till Friday, 24th July, 2026 being the last day for receipt of the same. He also informed that the Government of India has nominated Shri Jnanatosh Roy, Under Secretary, Department of Financial Services to attend and represent the Government of India in this Annual General Meeting. The 19th Annual General Meeting of the Bank was attended by 72 shareholders through Video Conference / Other Audio Visual Means (OAVM). The Chairman while addressing the shareholders briefly touched upon the Economic outlook, performance of the Bank under major business parameters, initiatives taken, achievement of Bank etc., during the FY 2025-26 and the way forward. The Chairman then moved the following Resolutions proposed in the AGM notice dated 23rd June, 2026:- 1. To discuss, approve and adopt the Audited Standalone and the Consolidated Balance Sheet of the Bank as at 31st March 2026, Standalone and Consolidated Profit and Loss Account of the Bank for the Financial year ended 31st March 2026, together with the report of the Board of Directors and Auditors’ thereon. 2. Election of ONE Shareholder Director: The Chairman informed that Bank received only one valid nomination for election process and said candidate i.e. Shri Rajesh Ranjan is deemed to be elected as Shareholder Director of Bank for a period of 03 years commencing from 01st August, 2026 as per Regulation 66 of Central Bank of India (Shares & Meetings) Regulation, 1998. Intimation in this regard was submitted to Stock Exchanges on 17th July, 2026 and publication in newspapers was also made on 20th and 21st July, 2026 for information of Shareholders of Bank. The Chairman then requested the Shareholders, who registered their names as speakers to speak at the meeting and to make their observations/queries/suggestions. Thereafter, the Chairman replied summarily to the queries/observations made by the speaker shareholders on the overall business performance and agenda items mentioned in the notice. The Chairman thereafter requested the Shareholders who had not casted their vote through remote e- voting to cast their vote through e-voting during the meeting. The Chairman further, informed that results of the Remote E-voting and E-voting along with Scrutinizer’s Report shall be placed on the Bank’s website https://www.centralbank.bank.in/en/investor- relations and on the website of MUFG Intime India Pvt.
