In connection with the above, the Company had received in-principle approval for the Offer from (i) the NSE pursuant to its letter bearing reference no. NSE/LIST/5023; and (ii) the BSE pursuant to its letter bearing reference no. LO\IPO\PJ\IP\386\2024-25, each dated February 17, 2025 and final observations from the SEBI pursuant to its letter bearing reference no. SEBI/HO/CFD/RAC-DIL3/P/OW/2025/12588/1 dated May 8, 2025 (“SEBI Final Observations”). In terms of the SEBI Final Observations, the proposed Offer was required to open for subscription within 12 months from the date of issuance of SEBI Final Observations, i.e., May 7, 2026. Further, in order to support the execution of the planned business initiatives, growth investments, expansion priorities, and associated operational and capital expenditure requirements, the Company is undertaking a rights issue. Accordingly, in view of the proposed rights issue and the restrictions under the SEBI ICDR Regulations in relation to further issuances, we have been informed that the Company does not propose to avail the one time relaxation granted pursuant to the SEBI circular no. HO/49/11/11(123)2026-CFD-RAC-DIL2/I/8760/2026 dated April 7, 2026 which permits extension of validity of all observation letters issued by the SEBI, and expiring between April 1, 2026 and September 30, 2026 till September 30, 2026, and accordingly, the validity of the SEBI Final Observations has lapsed.
