Particulars Disclosure Reason for amendment / alteration The existing Memorandum of Association and Articles of Association of the Company were framed under the provisions of the Companies Act, 1956. In order to align the constitutional documents of the Company with the provisions of the Companies Act, 2013, the rules made thereunder, including the applicable provisions of Table F contained in Schedule I to the Companies Act, 2013, and other applicable statutory and regulatory requirements, the Board of Directors has approved the proposal for adoption of a new set of Memorandum of Association and Articles of Association of the Company, in substitution of and to the entire exclusion of the existing Memorandum of Association and Articles of Association, subject to the approval of the Members of the Company.
