Sub: Outcome of Board Meeting of Black Rose Industries Limited held on 31st July, 2026
Ref: Regulation 30 and 33 (Listing Obligations and Disclosure Requirements) Regulations, 2015
(“Listing Regulations”)
This is to inform you that the Board of Directors of the Company at its meeting held today i.e. Friday,
31st July, 2026, inter-alia considered and approved the following items of business:
1. Pursuant to Regulation 33 of the SEBI (Listing Obligations and Disclosure Requirements)
Regulations, 2015 ("SEBI Listing Regulations"), the Board of Directors has, considered and
approved the Standalone and Consolidated Unaudited Financial Results for the quarter ended
30th June, 2026.
A copy of the results and Limited Review Reports thereon issued by the Statutory Auditors of
the Company are enclosed herewith.
2. Declaration of payment of Interim Dividend of Rs. 2 per equity (i.e. 200% on the paid-up share
capital) for the Financial Year 2026-27. Pursuant to Regulation 42 of SEBI Listing Regulations,
it is hereby informed that the Company has fixed Thursday, 6th August, 2026 as ‘Record Date’
for the purpose of determining entitlement of the members of the Company to receive the
Interim Dividend.
3. The Notice of 36th Annual General Meeting (“AGM”) of the Company to be held on
Wednesday, 9th September, 2026 at 02:00 p.m. (IST) through Video Conferencing (“VC”)/
Other Audio Visual Means (“OAVM”) in accordance with the applicable circulars issued by the
Ministry of Corporate Affairs and the Securities and Exchange Board of India.
4. The Board of Directors considered and approved the winding up of B.R. Chemicals Co.
Limited, Japan, a wholly owned subsidiary of the Company. The said closure is not
expected to have any material impact on the consolidated financial performance of the
Company.
Upon completion of the winding up, B.R. Chemicals Co. Limited shall cease to be a
subsidiary of Black Rose Industries Limited. The requisite disclosure in relation to the
above matter is enclosed as Annexure A.

1. We have reviewed the accompanying Statement of Unaudited Standalone Financial Results of Black
Rose Industries Limited (the 'Company') for the quarter ended 30th June 2026 ("the Statement"),
being submitted by the Company pursuant to the requirement of Regulation 33. of the SEBI (Listing
Obligations and Disclosure Requirements) Regulations, 2015, as amended (the "Listing
Regulations").
2. • This Statement which is the responsibility of the Company's Management, has been reviewed by
Audit Committee and approved by the Company's Board of Directors, has been prepared in
accordance with the recognition and measurement principles laid down in the Indian Accounting
Standard 34 'Interim Financial Reporting', prescribed under Section 133 of the Companies Act, 2013
read with relevant rules issued there under and other accounting principles generally accepted in
India and in compliance with Regulation 33 of the Listing Regulations. Our responsibility is to issue
a report on the Statement based on our review.
3. We conducted our review of the Statement in accordance with the Standard on Review Engagement
(SRE) 2410, 'Review of Interim Financial Information Performed by the Independent Auditor of the Entity'
issued by the Institute of Chartered Accountants of India. This Standard requires that we plan and
perform the review to obtain moderate assurance as to whether the Statement is free of material
misstatement. A review of interim financial information consists of making inquiries, primarily of
persons responsible for financial and accounting matters, arid applying analytical and other review
procedures. A review is substantially less in scope than an audit conducted in accordance with
Standards on Auditing and consequently does not enable us to obtain assurance that we would
become aware of all Significant matters that might be identified in an audit. Accordingly, we do not
express an audit opinion.
4. Based on our review conducted as above, nothing has come to our attention that causes us to believe
