In continuation to our letter dated 29th June, 2026, with respect to the Postal Ballot Notice, seeking approval of the
shareholders for the following resolution by way of Postal Ballot:

Regulation 44 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements)
Regulations, 2015.

ON POSTAL BALLOT (E-VOTING) RESULTS

Companies (Management and Administration) Rules, 2014 as amended]

Sub: Scrutinizer Report for Postal Ballot I Remote Electronic Voting begun on Tuesday, 30th June,
2026 at 09:00 A.M. (IST) and shall end on Wednesday, 29th July, 2026 at 05:00 P.M. (IST).
I, Punit Santosh Kumar Lath, was appointed as Scrutinizer by the Board of Directors of Mis. Narmada
Agrobase Limited ("the Company") for the purpose of scrutinizing the Postal Ballot e-voting process in a
fair and transparent manner in respect of all the Resolutions as stated in the Postal Ballot Notice dated 29th
June, 2026 (the "Postal Ballot Notice").
In compliance with the provisions of Section 110 and 108 of the Companies Act, 2013 (the "Act") read with
Rule 20 and 22 of the Companies (Management and Administration) Rules, 2014, Regulation 44 of the
Securities and Exchange Board. of India (Listing Obligations & Disclosure Requirements) Regulations,
2015 (the "SEBI Listing Regulations") Secretarial Standard on General Meetings ("SS-2") issued by the
Institute of Company Secretaries of India, including any circulars, statutory modification (s), clarification
(s), substitution(s) or re-enactment (s) thereof for the time being in force. guidelines prescribed by the
Ministry of Corporate Affairs (the "MCA"), Government of India, for holding general meetings/ conducting
postal ballot process through e-voting vide General Circular Nos. 14/2020 dated April 8, 2020, 17/2020
dated April 13. 2020, 22/2020 dated June 15, 2020 and 33/2020 dated September 28, 2020, 39/2020 dated
December 31, 2020, 10/2021 dated June 23, 2021, 20/2021 dated December 8, 2021 11/2022 dated
December 28, 2022, and 09/23 dated September 25, 2023 (collectively referred to as "MCA Circulars") and
latest Circular No. 09/2024 dated September 19, 2024, issued by the Ministry of Corporate Affairs,
Government of India, read with applicable SEBI Circulars, the special businesses mentioned in the Postal
Ballot Notice dated 29th June, 2026 , were proposed to be passed by the Members of the Company through
Postal Ballot via remote electronic voting ("e-voting") only. The Company had, accordingly. provided
facility of e-voting to all Members of the Company to enable them to cast their votes electronically on the
special business mentioned in the Notice.

The Postal Ballot Notice dated 29th June, 2026 along with statement setting out material facts under
Section I 02 of the Act in respect of the in respect of resolutions as stated in said notice of Postal Ballot, as
confirmed by the Company, was sent via e-mail, only to the Members whose names appeared in the Regist r
of Members I List of Beneficial Owners as received from Depositories and whose e-mail addresses were
registered with the Company/ Depositories as on ("Cut Off Date") date i.e. 26th June, 2026.
Accordingly, the communication of the a sent or dissent of the members took place through e-voting system
only.
The Company had availed the e- oting facility offered by National Securities Depository Limited ('NSDL ')
for conducting remote e-voting by the shareholders of the Company. The Notice was/is also available on the
website of the Company at www.narmadaagrobase.com.
The shareholders of the Company holding shares as at close of business hours 26th June, 2026 ("Cut Off
Date") were entitled to vote on the resolution as contained in the Notice.
The voting period for r mote e-voting commenced on Tuesday, 30th June, 2026 at 09:00 A.M. (IST) and
ended on Wednesday, 29th July, 2026 at 05:00 P.M. (IST) (both days inclusive) and the NSDL e-voting
system was disabled thereafter.
Voting rights of Members were in proportion to their share of the paid-up equity share capital of the
Company as on cut-off dat i.e. 26th June, 2026 and as per the Register of Members of the Company.
I have scrutinized and reviewed the votes cast through remote e-voting based on the data downloaded from
the NSDL e-voting system and have maintained a register in which necessary entries have been made in
accordance with the Companies (Management and Administration) Rules, 2014, as amended.
The Management of the Company is responsible to ensure compliance with the requirements of the Act,
rules and the MCA Circulars relating to remote e-voting on the Resolutions contained in the Notice of the
Postal Ballot.
My responsibility as scrutinizer for the voting on postal ballot through remote e-voting is restricted to to
ensure the voting is conducted in fair and transparent manner and to provide a Scrutinizer's Report on the
votes casted on the resolution.
