Dear Madam/ Sir,
In continuation to our intimation dated July 17, 2026, the 95th AGM of the Bank will be held on Friday,
August 21, 2026 at 11 A.M. IST through Video Conferencing(VC) / Other Audio-Visual Means(OAVM). In
accordance with circulars issued by the Ministry of Corporate Affairs (MCA), shareholders will be able to
attend and participate in the AGM only through VC / OAVM.
Pursuant to Regulation 34(1) of Securities Exchange Board of India (Listing Obligations and Disclosure
Requirements) Regulations, 2015 (“SEBI Listing Regulations”), we are submitting herewith the Integrated
Annual Report of the Bank along with the Notice of 95th AGM of the Bank for the Financial Year 2025-26
which is being sent through electronic mode to the Members of the Bank.
A letter providing the web-link, with the exact path where complete details of the Notice of AGM and
Integrated Annual Report 2025-26 are available, shall also be sent to those members who have not
registered their e-mail address.
Pursuant to Regulation 42 of SEBI (LODR) Regulations, the Bank has fixed Friday, August 14, 2026 as the
‘Record Date’, for the purpose of determining the members of the Bank eligible to receive the Final Dividend,
if declared in the AGM, for the Financial Year ended March 31, 2026.
The Bank is providing electronic voting facility to its members to exercise their right to vote by electronic
means on any or all the items of business as set out in the Notice, through National Securities Depository
Ltd (NSDL) e-voting platform, which will commence on Tuesday, August 18, 2026 at 09:00 a.m. and ends
on Thursday, August 20, 2026 at 5:00 p.m. The E-Voting module will be disabled after 05:00 p.m. on
Thursday, August 20, 2026. The members who have not cast their votes by remote e-voting can exercise
their voting rights through the e-voting system during the AGM. A person whose name is recorded in the

website, https://www.federal.bank.in/disclosures-to-shareholders website of the Stock Exchanges, i.e.,
BSE Limited and National Stock Exchange of India Limited at www.bseindia.com and www.nseindia.com
respectively, and on the website of National Securities Depository Limited (“NSDL”), www.evoting.nsdl.com

NOTICE TO SHAREHOLDERS
Notice is hereby given that Ninety-Fifth (95th) Annual General Meeting (“AGM”) of the members of The
Federal Bank Limited (“the Bank") will be held on Friday, August 21, 2026, at 11:00 A.M. (IST) through
Video Conferencing (“VC”)/ Other Audio-Visual Means (“OAVM”) to transact the following businesses:
ORDINARY BUSINESSES
Item No. 1- Adoption of Audited Financial Statements for the Financial Year ended March 31, 2026
To receive, consider and adopt,
a. the Audited Financial Statements, including Audited Balance Sheet and Statement of Profit and Loss
of the Bank for the Financial Year ended March 31, 2026, and the Reports of the Board of Directors
and the Auditors thereon.
b. the Audited Consolidated Financial Statements, including Audited Consolidated Balance Sheet and
Statement of Profit and Loss of the Bank for the Financial Year ended March 31, 2026, and the
Report of the Auditors thereon.
Item No. 2- Approval of Final Dividend for Financial Year 2025-26
To consider declaration of final dividend of ₹ 1.20 (60%) per equity share of ₹ 2/- each for the Financial
Year ended March 31, 2026.
Item No. 3- Re-appointment of Mr. Krishnan Venkat Subramanian (DIN: 00031794), Managing Director
& Chief Executive Officer of the Bank, who retires by rotation and being eligible, has offered himself
for re-appointment.
To appoint a director in place of Mr. Krishnan Venkat Subramanian (DIN: 00031794), Managing Director
& Chief Executive Officer of the Bank, who retires by rotation and being eligible, offered himself for re-
appointment.
Item No.4- Appointment of Joint Statutory Auditors and to fix their remuneration.
To consider and, if thought fit, to pass, with or without modification, the following Resolution as an
Ordinary Resolution:
“RESOLVED THAT pursuant to the provisions of Section 139 and other applicable provisions, if any, of
the Companies Act, 2013 (“the Act”), read with the Companies (Audit and Auditors) Rules, 2014, and
the applicable provisions of the Banking Regulation Act, 1949, including any statutory modification(s) or
re-enactment(s) thereof for the time being in force, and the rules, guidelines and circulars issued by the
Reserve Bank of India (“RBI”) from time to time, and based on the confirmation received from the
proposed auditors regarding their eligibility under Section 141 of the Act and applicable rules, and
pursuant to the approval granted by the RBI, approval of the Members of the Bank be and is hereby
accorded for the appointment of M/s. Price Waterhouse LLP, Kolkata, having ICAI Firm Reg No.
301112E/E300264, and M/s. K. S. Aiyar & Co., Mumbai, having ICAI Firm Reg No. 100186W, as the Joint
Statutory Auditors of the Bank for a period of three years, to hold office from the conclusion of the 95th
AGM until the conclusion of the 98th AGM, subject to the approval of the RBI every year.”
“RESOLVED FURTHER THAT pursuant to Section 142 and other applicable provisions of the Companies
Act, 2013, the Members of the Bank be and hereby approve the overall audit fee payable to M/s Price
Waterhouse LLP and M/s K. S. Aiyar & Co (collectively referred to as the “Joint Statutory Auditors”) for
the first year of their appointment, aggregating to ₹400 lakh (Rupees Four Hundred Lakh only), to be
shared equally between the Joint Statutory Auditors together with reimbursement of Out-of-pocket
expenses, outlays and applicable taxes.”
“RESOLVED FURTHER THAT the Board of Directors of the Bank, including any Committee of the Board
thereof, be and is hereby authorised to consider and approve any revision or enhancement in the
remuneration payable to the Joint Statutory Auditors for the second and third years of their appointment
as Statutory Auditors of the Bank and to determine and approve the fees payable for any additional
certificates, reports, or attestations or other services required to be issued or rendered by the Joint
Statutory Auditors, which are not covered under the terms of the engagement, and to do all such acts,
deeds, matters and things as may be necessary or expedient in this regard, without being required to
seek any further consent or approval of the Members of the Bank.”
