Dear Sir/ Madam,
We have to inform you that the Company is currently undergoing proceedings
under the Insolvency and Bankruptcy Code, 2016 (“IBC”). The Hon’ble National
Company Law Tribunal ("“NCLT”), Mumbai Bench, vide its order dated February 1,
2024, admitted an application under Section 7 of the IBC against the Company,
thereby commencing the Corporate Insolvency Resolution Process (“CIRP”) and
the undersigned was appointed as an Interim Resolution Professional (“IRP”).
Subsequently, an appeal was filed before the Hon’ble National Company Law
Appellate Tribunal (“NCLAT”) in Bhavesh Gandhi vs. Amluckie Investment
Company Ltd., Company Appeal (AT) (Ins.) No. 244 of 2024. During the pendency
of the appeal, the Hon’ble NCLAT, vide interim order dated February 12, 2024, had
stayed the constitution of the Committee of Creditors (“CoC”).
We further wish to inform you that the Hon’ble NCLAT, Principal Bench, New Delhi,
vide its order dated October 15, 2025, has vacated the stay and allowed
withdrawal of the appeal. With the interim stay lifted, the CoC has been
constituted, and the Hon’ble NCLT has approved the same. In the First (1°)
Committee of Creditors meeting held on Monday, November 03, 2025, the
members of the Committee of Creditors approved the appointment of Mr.
Purusottam Behera, Interim Resolution Professional (IRP) as Resolution
Professional (RP).

TO THE INTERIM RESOLUTION PROFESSIONAL OF SKIL INFRASTRUCTURE
LIMITED APPOINTED UNDER THE INSOLVENCY AND BANKRUPTCY CODE
Report on the audit of the Standalone Financial Results
Qualified Opinion
We have audited the accompanying standalone quarterly financial results of Skil
Infrastructure Limited for the quarter ended March 31, 2025 and the year-to-date results
for the period from April 1, 2024 to March 31, 2025, attached herewith, being submitted
by the company pursuant to the requirement of Regulation 33 of the SEBI (Listing
Obligations and Disclosure Requirements) Regulations, 2015, as amended (“Listing
Regulations”).
The Hon'ble National Company Law Tribunal (NCLT), Mumbai Bench Vide its order
dated Ist February, 2024 has admitted the Company for commencing the Corporate
Insolvency resolution Proceeding (CIRP) under the Insolvency & Bankruptcy Code, 2016
(the IBC) and an Interim Resolution Professional (IRP) has been appointed for completion
of the CIRP in accordance with the IBC. The Company has challenged the said order in
the National Company Law Appellate Tribunal (“NCLAT”).
The IRP has taken charge from Ist February 2024 and as explained in Note no, 2 to the
financial results, the IRP has relied upon the assistance provided by the existing staff and
present key management personnel ("KMPs") for the preparation of the result.
In our opinion and to the best of our information and according to the explanations given
to us these standalone financial results:
I. are presented in accordance with the requirements of Regulation 33 of the Listing
Regulations in this regard; and
I]. give a true and fair view in conformity with the recognition and measurement
principles laid down in the applicable accounting standards and other accounting
principles generally accepted in India of the net profit and other comprehensive
income and other financial information for the quarter ended March 31, 2025 as
well as the year-to-date results for the period from April 1, 2024 to March 31, 2025
except for the effect of the matters described in “Basis for Qualified Opinion”.
Basis for Qualified Opinion
a. Claims admitted during Corporate Insolvency Resolution Process
The Company is undergoing Corporate Insolvency Resolution Process (“CIRP”) under the
Insolvency and Bankruptcy Code, 2016. During the CIRP process, various claims have been

submitted by financial creditors, operational creditors and other parties and have been
considered/ admitted by the Resolution Professional (“RP”).
The details of claims admitted by the RP were provided to us through communication from
the RP. However, we could not verify the details relating to such admitted claims for our
examination. Further, the amounts of claims admitted by the RP are not fully aligned with
the amounts disclosed by the Company as contingent liabilities in the financial results.
In view of the above, we were unable to obtain sufficient appropriate audit evidence
regarding the completeness, accuracy, classification and disclosure of the aforesaid claims
and related liabilities/ contingent liabilities recognised or disclosed in the financial results.
Consequently, we were unable to determine whether any adjustments were required to the
liabilities, contingent liabilities and related disclosures in the accompanying financial
results.
. Material uncertainty relating to going concern not adequately disclosed
The Company is undergoing Corporate Insolvency Resolution Process (“CIRP”) under the
Insolvency and Bankruptcy Code, 2016. The Company has prepared the financial results
on a going concern basis considering the ongoing CIRP process and the steps being
undertaken for revival of the Company.
However, the financial results do not adequately disclose the material uncertainty
associated with the Company’s ability to continue as a going concern arising from the
