Earlier today, the Nomination and Remuneration Committee (NRC) of the Board of Directors met and reviewed the communications from Executive Directors (Promoter Group) Shri Rajendra V. Gogri, Shri Rashesh C. Gogri, and Shri Renil R. Gogri, detailing their intent to transition to Non-Executive roles, effective October 1, 2026. Concurrently, the current Managing Directors; Shri Rajendra V. Gogri and Shri Rashesh C. Gogri, recommended that Shri Suyog Kotecha, existing Chief Executive Officer (CEO) and Executive Director, assume the role of Managing Director effective the same date, subject to shareholders’ approval. In a subsequent meeting held later today, the Board of Directors reviewed the NRC's recommendations and formally approved the following changes to the Directorate, effective October 1, 2026: ● Shri Rajendra V. Gogri (DIN: 00061003): To continue as a Non-Executive Director and Chairman of the Company. ● Shri Rashesh C. Gogri (DIN: 00066291): To continue as a Non-Executive Director and Vice-Chairman of the Company. ● Shri Renil R. Gogri (DIN: 01582147): To continue as a Non-Executive Director and Vice- Chairman of the Company. ● Shri Suyog Kotecha (DIN: 10634964): The current CEO will assume the additional role of Managing Director of the Company. Rationale: These transitions align with the Company’s commitment to a structured and future- ready governance model by placing the reins of management firmly in the hands of professional leadership. CEO & Executive Director Shri Suyog Kotecha has demonstrated exceptional leadership and strategic vision, firmly establishing himself within the organization and proving his capability to take on greater responsibilities. Whereas the Promoter Directors continue providing strategic oversight through Board Leadership roles. The Board of Directors and the leadership team have the utmost confidence in his ability to successfully lead the Company into its next phase of growth.
