Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations,
2015 , as amended ("SEBI Listing Regulations, 2015")
This is to inform you that the 18th Annual General Meeting of the Company was held on
Wednesday, 29 July , 2026 at 03.45 pm (IST) through Video Conference (VC) / Other Audio -Visual
Means (OAVM) (hereinafter referred to as ‘e -AGM’) in accordance with the applicable provisions of
the Companies Act, 2013 ('the Act'), SEBI (Listing Obligation and Disclosure Requirements)
Regulations, 2015 (‘SEBI Listing Regulations’) and circulars issued by the Ministry of Corporate
Affairs (MCA), to transact the businesses as stated in the Notice convening the 18th e-AGM.
As per the requirements under SEBI Listing Regulations and applicable provisions of the Act,
please find enclosed herewith the following:
1) Scrutinizer’s Report dated 30 July 2026, pursuant to Section 108 of the Act and Rule 20 of the
Companies (Management and Administration) Rules, 2014 , and
2) Voting results pursuant to Regulation 44(3) of the SEBI Listing Regulations
A copy of the same is also being placed on the Company's website and on the website of KFin
Technologies Limited.

Scrutinizer's Report - Consolidated
The Chairman of the
Eighteenth Annual General Meeting (" ACM") of the Members of Bajaj Housing
Finance Limited held on Wednesday, 29 July, 2026 at 3:45 p.m., through Video
Conferencing ("VC") / Other Audio-Visual Means ('OA VM')
Dear Sir,
1. I, Sachin Bhagwat, Practicing Company Secretary, was appointed as a
Scrutinizer by the Board of Directors of Bajaj Housing Finance Limited (" the
Company") for the purpose of:
a) scrutinizing the remote e-voting process under the provisions of Section
108 of the Companies Act, 2013 (" the 2013 Act") read with Rule 20 of the
Companies (Management and Administration) Rules, 2014 (" the Rules")
for all the resolutions contained in the Notice of the ACM; and
b) scrutinizing the e-voting process conducted at the ACM for all the
resolutions contained in the notice of the ACM.
2. The management of the Company is responsible to ensure compliance with the
requirements of the Act and the Rules related to remote e-voting and e-voting
process conduced at the ACM. My responsibility as Scrutinizer is restricted to
ensure that the voting process is conducted in a fair and transparent manner
and prepare the Scrutinizer's Report of the votes cast in favour or against the
resolutions contained in the Notice of the ACM, based on the reports generated
from the facility of "remote e-voting" and "voting at the ACM" provided by
KFin Technologies Limited, the authorized agency engaged by the Company to
provide facility for remote e-voting and e-voting at the ACM.
3. As confirmed by the Company: (i) The Company had sent the Notice of the
ACM along-with Annual Report for financial year ended on 31 March, 2026 in
electronic mode on Saturday, 4 July 2026 to those Members whose names
appeared in the Register of Members / List of Beneficial Owners as received
from National Securities Depositories Limited and Central Depository Services
(India) Limited as on Friday, 26 June 2026 and who have registered their email
IDs with the Depositories/ Registrar to an issue and Transfer Agent. (ii) A letter
containing web-link and QR Code for accessing the Notice of the ACM and
Annual Report for the Financial year ended on 31 March 2026 including the
exact path and log-in credentials for remote e-voting was sent to the members
who have not registered their email IDs with the Depositories/ Registrar to an
issue and Transfer Agent.

4. The voting rights of members were considered in proportion to the paid-up
value of their shares in the equity capital of the Company as on Wednesday, 22
July, 2026, the "cut-off date" fixed by the Company. Total number of
shareholders as on the cut-off date was 2,347,371 holding 8,332,334,619 equity
shares of the Company.
5. The Company had published notice by way of advertisement in English
Newspaper viz. 'Financial Express' and in Marathi Newspaper viz. 'Kesari' on
Sunday, 5 July 2026 providing information relating to the AGM, the remote e
voting and details of participation in the AGM etc. in accordance with Rule 20
of the Rules.
6. The Company had provided the facility of "remote e-voting" through the e
voting services provided by KFin Technologies Limited for ensuring wider
participation of the Members and to enable them to cast their vote
electronically. The remote e-voting module of KFin Technologies Limited was
enabled on Saturday, 25 July 2026 at 9:00 A.M. and disabled on Tuesday, 28
July 2026 at 5:00 P.M. During this period, Members of the Company, holding
shares in physical / dematerialized form, as on the cut-off date, were able to
cast their vote through remote e-voting on the resolutions set out in the Notice
of the AGM.
7. The facility for e-voting was provided at the AGM for those members who
attended the meeting but had not voted through remote e-voting facility.
8. The votes cast by the members by remote e-voting and at the AGM were
unblocked on Wednesday, 29 July 2026 at 5.48 P.M. in the presence of 2
witnesses, who are not in the employment of the Company. Particulars of all
votes cast by members by remote e-voting and at the AGM have been entered
in the register separately maintained for the purpose.
9. I hereby confirm that thee-voting process (remote e-voting and e-voting at the
AGM) was conducted in a fair and transparent manner.
10. I submit my consolidated report on the results of remote e-voting together with
that of e-voting conducted at the AGM, through the system provided by KFin
Technologies Limited, as under:
