As it was a purely execution part of its' one of the projects for undertaking the development, operation and maintenance of Wayside Amenities & for the said Letter of Award (LOA), the Subsidiary Company is incorporated for the execution of this project. The Company is yet to make any investment in the share capital of the newly incorporated company & as on date committed as per the subscription clause of MOA to subscribe for its subsidiary company shares. Hence, this is not the material event for the Company. Secondly, because of the holiday on June 21, 2026, being Sunday, the Company was not able to submit the said disclosure, but the Company has noted this aspect of "timely submission" of the disclosure & shall ensure to submit all such disclosure(s) herein onwards, within the stipulated time. We would also like to update you that the details as prescribed under the aforesaid SEBI Circular were already captured in our earlier disclosure as submitted. We humbly request you to kindly consider our submission, as the LOA disclosure had been already submitted. We are committed to follow the SEBI LODR Regulations in toto & shall ensure to avoid such lapses in future. You are requested to take the same on record.
