In terms of Section 17 of the Code, the powers of the Board of Directors stand suspended upon commencement of the CIRP. and such powers are exercised by the Resolution Professional. Subsequent to the approval of the Resolution Plan by the Hon’ble NCLT on 20th June 2025, the Company has been transferred to and is being managed by the new management (Successful Resolution Applicant). This responsibility also includes: * Maintenance of adequate accounting records in accordance with the provisions of the Act for safeguarding the assets of the Company and for preventing and detecting frauds and other irregularities; ¢ Selection and application of appropriate accounting policies: * Making judgements and estimates that are reasonable and prudent; and * Design, implementation and maintenance of adequate internal financial controls that were o rp ele er va at ni tn g ( o e tf hf ee c pt ri ev pe al ry a tf ior o ne an ns dur pi rn eg s et nh te a ta ic oc nu r oa fc ty h ea fn id n ac no cim ap ll e rt ese un le ts s s t ho af t gt ih ve ea ac c to ruu en t ai nn dg far ie rc o vr id es w, and are free from material misstatement, whether due to fraud or error. In preparing the financial results, the Management is responsible for assessing the Company s ability to continue as a going concern, disclosing. as applicable. matters related to going concern, and using the going concern basis of accounting unless the Management either intends to liquidate the Company or to cease operations, or has no realistic alternative but to do so.
