Mumbai, July 30, 2026, Key Highlights of the MoU • The parties intend to collaborate for the Research, Design, Development, manufacturing, marketing and sale of ISR drones, Loitering ammunition and smart Drone ammunition. • The collaboration envisages the formation of a joint venture in India, with Sunita Tools Limited proposed to hold the majority stake, subject to execution of definitive agreements and obtaining all necessary regulatory approvals. • The Company will act as the development, manufacturing, marketing and distribution partner for the agreed products within India, GCC countries and the Indian subcontinent, while also having rights to promote the products in other international markets as mutually agreed. • The collaboration aims to combine Polish Defence Co’s technology, technical know-how and product development capabilities with Sunita Tools Limited’s manufacturing expertise, industrial infrastructure and market reach. • The parties also intend to jointly explore opportunities for participation in defence procurement programmes and strategic collaborations with Indian defence industry participants, subject to applicable laws and regulations. • The MoU is valid for a period of five (5) years, unless terminated earlier in accordance with its terms. Strategic Significance The Company believes that this strategic collaboration represents an important step towards strengthening its presence in the defence and aerospace sector and aligns with its long-term strategy of expanding into advanced defence technologies and indigenous manufacturing under the Government of India’s “Make in India” and “Aatmanirbhar Bharat” initiatives. The proposed collaboration is expected to facilitate technology access, product development and future business opportunities in the rapidly growing defence market. Other Information The MoU records the intent of the parties to work together and is subject to execution of definitive agreements, completion of commercial negotiations, statutory approvals, export control regulations and other applicable governmental approvals wherever required. There is no immediate financial impact arising from the execution of the MoU. Any material developments or definitive agreements pursuant to the MoU shall be disclosed to the stock exchanges in accordance with applicable laws and regulations.
