Symbol: RAINBOW Scrip Code: 543524 Sub: Intimation under Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 ("SEBI Listing Regulations") Pursuant to Regulation 30 read with Schedule III of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 ("SEBI Listing Regulations"), this is to inform you that the Company has today executed a Partnership Interest and Contribution Transfer Agreement ("PICTA") with the existing partners of Super Prime Medical Care LLP (“LLP”) and the LLP,in connection with the proposed acquisition by the Company of 64% (Sixty Four Percent) partnership interest and corresponding capital contribution in the LLP from the existing partners thereof ("Sellers"): Pursuant to the terms of the aforesaid agreements and subject to fulfilment (or waiver, where permissible) of the conditions precedent and completion of customary closing formalities, the Company shall acquire 64% partnership interest and corresponding capital contribution in the LLP from the existing partners thereof for an aggregate consideration of ₹19.84 Cr. Upon completion of the proposed transaction, the LLP shall become a subsidiary of the Company. The Proposed Transaction is intended to acquire a running children's hospital at Nellore, Andhra Pradesh, promoted by a group of leading doctors. The details required under Regulation 30 of the SEBI Listing Regulations read with Schedule III thereto and the SEBI Master Circular dated January 30, 2026, are enclosed as Annexure A and Annexure B.
