(IST) through video conference (‘VC’)/ other audio visual means (‘OAVM’) in compliance with the applicable provisions of the Companies Act, 2013 and rules made thereunder, the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 (“Listing Regulations”), and relevant circulars issued by MCA and SEBI. Pursuant to the Listing Regulations, we are enclosing herewith the following: 1. Notice convening 16th Annual General Meeting of the Company (“Notice”) and 2. Annual Report of the Company for the financial year ended March 31, 2026 (“Annual Report”) The Notice and Annual Report is being sent through electronic mode to the members of the Company whose names appear in the register of members/ list of beneficial owners as on Wednesday, July 22, 2026 and whose e-mail addresses are registered with the Company/ registrar and share transfer agent/ depositories/ depository participants. The Board has appointed National Securities Depository Limited (“NSDL”) as the e-voting agency. Members of the Company holding shares in demat or physical form as on Wednesday, August 19, 2026 (“Cut-off date”) are entitled to cast their vote on the resolutions as set out in the Notice by electronic means, through remote e-voting facility which shall commence on Saturday, August 22, 2026 at 9:00 A.M. (IST) and end on Tuesday, August 25, 2026 at 5:00 P.M. (IST) or through e-voting at the AGM. Food delivery Zomato operates a B2C technology platform that provides customers with a seamless, on- demand solution to discover local restaurants, order food, and have it delivered reliably and quickly. Every order on Zomato requires real-time coordination. A meal has to be prepared by a third-party restaurant, picked up by an independent delivery partner navigating unpredictable traffic, and delivered while the food is still hot — executed at a scale of millions of orders per day with no room for error. Over time, we have invested in building systems that make this possible, reliably and at scale across the length and breadth of the country.
