S Muthuraju, Company Secretary , Secretarial Auditor of our Company and Scrutinizer for the today’s AGM were also present in the AGM. Shri. Balarama Govinda Das, Chairman occupied the chair and after ascertaining from the secretary that the requisite quorum for the meeting was present, the Chairman called the meeting to order. He welcomed the members to the meeting. He informed the members that the Company has been able to achieve good performance for the year ended 31.03.2026. • Revenue increased by 73% to ₹8,499 crore. • EBITDA grew by 157% to ₹577 crore. • Profit After Tax rose by an impressive 196% to ₹352 crore. • Our active customer base crossed 45 lakh, registering a 41% growth. • Our employee strength increased to 3,450, while revenue per employee improved to over ₹2.5 crore, reflecting enhanced productivity and customer engagement. These achievements are the result of the dedication of our employees, the loyalty of our customers, and the continued confidence of our shareholders, bankers, vendors, and business partners. During the year,our Chennai expansion contributed significantly to our growth. Chennai now contributes over 20% of our annualized turnover, while the urban share of our business increased from 31% to nearly 42%. This validates our business model, which continues to perform successfully across both urban and rural Tamil Nadu. Despite unprecedented volatility in gold and silver prices, your Company maintained excellent liquidity through disciplined fund management, prudent hedging, and effective utilization of customer advances and internal accruals. As on 31st March 2026, available working capital, including eligible undrawn bank limits, reached a historic high of nearly ₹597 crore. We also continued our balanced funding philosophy by maintaining an appropriate mix of net worth, customer advances, and external borrowings. Looking ahead, our confidence in the future remains strong. During FY 2026-27, we plan to: • Open nine additional showrooms, primarily in Chennai and surrounding regions. • Continue expanding our Digi Gold customer base. • Strengthen competitive pricing and product offerings. • Improve operational efficiencies through technology and data-driven decision making. • Our long-term vision of reaching 100 stores across Tamil Nadu by 2030 remains firmly on track. The recent increase in import duty on gold and silver from 6% to 15% may temporarily influence consumer demand. At the same time, exchange of old jewellery has emerged as a significant driver of sales, now contributing nearly 50–60% of our transactions. We will continue to monitor market developments and respond proactively while safeguarding shareholder value. In recognition of the Company's strong financial performance, your Board has recommended a dividend of ₹18 per equity share, representing 180% on the face value of ₹10 per share. The payment of dividend shall be made within the statutory timeline after Shareholders approval. The Secretary of the Company read the Notice of the meeting and also read the Auditor's Report to the share holders. ANNUAL GENERAL MEETING RESOLUTIONS The Chairman ordered a poll in the AGM to extend the facility of proportionate share voting in line with E-Voting offered by the Company, as per the Companies Act, 2013. The poll was conducted to provide voting facility to all the shareholders and proxy holders who attended the AGM and not exercised their vote through e-voting, in proportion to their shareholding. The following items of businesses, as per the Notice of AGM dated 29th June 2026, were transacted at the meeting through remote e-voting: Resolution 1 - Ordinary Resolution: To consider and adopt the audited Balance sheet as at 31.03.2026 & the Profit & Loss account along with report of Directors, Auditors and Secretarial auditor thereon. Resolution 2 - Ordinary Resolution: To appoint a director in place of Smt.Yamuna Vasini Deva Dasi who retires by rotation and being eligible offers herself for re-appointment. Resolution 3 - Ordinary Resolution: To declare a dividend of ₹18/- (Rupees Eighteen only) per equity share of face value ₹10/- each (180%) for the financial year ended 31st March, 2026. Special Resolution - 4: To Approve the revision in the remuneration of Mr. B. Rajeshkanna, Chief Financial Officer. Ordinary Resolution -5: To Approve the revision in the remuneration of Mr. N. B. Arun, Vice President – Operations and People Care Ordinary Resolution - 7: To Approve the revision in the remuneration of Mrs. P. Shylaja, General Manager – Diamond and People Care. Ordinary Resolution - 8: To accept and renew of Fixed Deposits pursuant to Sections 73 and 76 of the Companies Act, 2013. The Chairman authorized CS. S Muthuraju, Company Secretary to carry out the voting procedure and conclude the Meeting. He also authorized the Company Secretary to accept and countersign the Scrutinizer’s Report and declare the consolidated voting results. He informed the Members that the combined results of the e-voting before as well as voting by Ballot during the AGM would be announced within the stipulated time frame and the results along with the Scrutinizer's Report would be intimated to the Stock Exchanges in terms of the SEBI LODR and would be placed on the website of the Company. Then Mr.B RajeshKanna, Chief Financial Officer thanked the Members for their continued support and for attending and participating in the Meeting. He also thanked the Directors for sharing their valuable insights on the Company's performance, strategic initiatives, and future roadmap. Their leadership and vision continue to guide the Company towards sustainable growth and long-term value creation.
