The Board of Directors of the Company, at its meeting held on 29th July 2026, has approved the proposal for shifting of the Registered Office of the Company within the State of Maharashtra, but under jurisdiction of different Registrar of Companies, which is subject to the approval of the Members of the Company by way of Special Resolution and such other statutory/regulatory approvals as may be required, including approval of the Regional Director, Western Region, Ministry of Corporate Affairs. Existing Registered Office: 211 / A, MIDC, Buti Bori Industrial Area, Village Kinhi, Tal. Hingana, Dist. Nagpur 441122. Proposed Registered Office: Suma Centre S. No 8+13(P) CTS No. 1409+1410, Erandwane, Pune 411004. Reason for Change: The entire management team of the company including Directors operate from Pune. The principal place of business (Suma Centre) is located in Pune City. Therefore, for consolidation of registered office of the company with principal place of business and administrative convenience, shifting is necessary. The proposal shall be placed before the Members for approval at the ensuing Annual General Meeting of the Company scheduled to be held on 4 September 2026. The shift shall become effective upon receipt of the requisite approvals and registration of the order by the concerned Registrar of Companies.
