SUMMARY OF THE PROCEEDINGS OF THE 44th ANNUAL GENERAL MEETING ('AGM') OF THE
SHAREHOTDERS OF IFB AGRO INDUSTRIES LIMITED HELD ON WEDNESDAY. IULY 29. 2026
AT 12.30 p.M. (IST) THROUGH VrpEO CONFERENCING ('VC',)/ OTHER AUpIO-VISUAI
MEANS ('OAVM').
The 44th Annual General Meeting ['AGM') of the Shareholders of IFB Agro Industries Limited ('the
Company') was duly convened on Wednesday, July 29,2026 at 12.30 p.m. (lST) through Video
Conferencing(VC')/ Other Audio-Visual Means ['OAVM') to transact the business as stated in the
Notice dated May 28,2026, convening the AGM. Since the Meeting was conducted in accordance
with the circulars issued by the Ministry of Corporate Affairs ('MCA') and the Securities and
Exchange Board of India ('SEBI') physical attendance of Members was dispensed with.
Accordingly, the Members were informed that the requirement of appointing proxies was not
applicable.
Mr, Kuntal Roy, Company Secretary welcomed the Members to the AGM and briefed them on
process relating to their participation at the Meeting through audio-visual means.
Mr. Bikramjit Nag, Chairman of the Company chaired the meeting. He welcomed the shareholders
to the Meeting and on requisite quorum being present, called the Meeting to order. Total number
of shareholders attended AGM through NSDL e-voting platform are 83.
He also mentioned about the enduring legacy of the Company's Founder and Chairman, Mr. Bijon
Bhushan Nag, who passed away on 28th fanuary 2024 in Singapore, where he had been
undergoing treatment since July 2023. Over the past year, the Company focussed on
strengthening its foundation, enhancing resilience, and moving forward with renewed
commitment to the values, vision and principles which was established by him.
The Chairman introduced the Directors namely Mr. Arup Kumar Banerjee, Executive Vice
Chairman, Mr. Sanjoy Dutta, Dr. Janardan Anna Gore, Mr. Malay Kumar Das, Dr. Runu Chakraborty,
Independent Directors, Mr. Rahul Choudhary, ED & CFO, Mr. Santanu Ghosh, ED-Operations &
CEO- Distillery Business. The respective Chairman/Chairperson of the Audit Committee,
Stakeholders Relationship Committee and Nomination and Remuneration Committee etc., were
also present at the AGM. The Chairman welcomed all the Directors present and introduced them
to the Shareholders.
He also informed the shareholders that, Mr. Vikram Dhanania, [Partner of MSI(A & Associates
LLP), Statutory Auditors, Mr. A.K. Labh, Partner of M/s Labh & Labh Associates, Company
Secretaries, SecretarialAuditors and, Scrutinizers for the remote e-voting and the e-voting during
the meeting of the AGM, were present at the Meeting through VC from their respective locations.
The Registers as required under the Companies Act, 2013 were available for inspection during
the duration of the meeting. Shareholders who were present at the meeting and had not casted
their votes through remote e-voting were provided an opportunity to cast their votes at the end
of the meeting through electronic means.

With the consent of the Shareholders present, the Notice convening the AGM for the year ended
March 3'J,,2026 were taken as read. The Chairman also informed that the Auditors Report for the
year 2025-26 is unmodified, the report may be taken as read and there was no qualification,
observation or adverse remarks in the SecretarialAuditor's Reports.
Mr. Bikramjit Nag, then explained the Company's performance for the financial year 2025-26,
strategic plans and future outlook. He informed that the business performance improved during
FY 2025-26 compared to the previous year, however the business continued to operate in a
challenging environment marked by intense competition.
It was informed that distillery margins were impacted due to stiff price cut of the ENA and
Ordinary Denatured Spirit ['ODS'), notwithstanding a marginal drop in raw material prices owing
to the supply of FCI rice to dedicated ethanol manufacturers. Margins also declined as the price of
by-products Distiller's Dried Grains with Soluble ['DDGS') and Carbon di-oxide ICO2) have
decreased due to excess supply by these ethanol plants. Operations at the distillery were affected
by intermittent stoppage of production due to high stoch as customers were reluctant to lift the
material due to the illegal methods adopted bythe State Excise authorities. Numerous letters were
written to the then Excise Commissioner and the then Hon'ble Chief Minister to stop this.
The Chairman further informed that the newly set up 25 KLPD Ethanol plant at the distillery was
successfully commissioned during the year. But the sale of Ethanol will start in the FY 26-27 once
new tenders are floated by the Oil and marketing companies.
It was further informed that the Indian Made Liquor flML) industry in Bengal witnessed a
nominal growth of 3o/o during the last 2years,as there has been frequent increase in the prices of
the product by the Excise Department, Effective December 01,2025,there was again an increase
in the excise duty leading to further increase in the prices. This abnormal price increase has forced
the people belonging to lower economic strata to shift towards the smaller pack sizes. The illegal
interference of the Excise Authorities at the District level continued, threatening to retailers of
dire consequences and forcing the retailers, not to lift the IFB branded product. The Company had
made various representation to the Excise Commissioner, West Bengal informing such illegal
activities by his department both in Distillery and IML, with a request to stop such activities.
Action from the Excise Commissioner in this respect has been pending since 2020. Further, it was
stated that under the new regime, the Company has submitted representations to the Chief
Secretary seeking independent enquiry and necessary action against the concerned Excise
officials, including the then Excise Commissioners involved.
He added that no such issues with the Excise Department persist under the new regime.
The Management, in order to pursue the dream of Founder Chairman for exponential growth,
made a strategic entry into the aquaculture feed segment by acquisition of commercial compound
shrimp feed and freshwater fish feed business in India, from Cargill India Private Limited. This
