The 50th Annual General Meeting of the Company was held on Wednesday, 29th July, 2026 at 10:30
A.M. (IST) through Video Conferencing (“VC”)/Other Audio Visual Means (“OAVM”) in conformity with
the applicable provisions of the Companies Act, 2013 and the Rules thereunder read with the Circulars
issued by the Ministry of Corporate Affairs, Government of India. The Meeting commenced at 10:30
A.M. (IST) and concluded at 12:40 P. M. (IST). The Company also facilitated the live webcast of the
proceedings of the meeting.
In this regard we are enclosing the proceedings of the AGM pursuant to Regulation 30 of the SEBI
LODR as Annexure-A.

The 50th Annual General Meeting ('the Meeting') of IFB Industries Limited was held through Video
Conferencing / Other Audio Visual Means (‘VC’) on Wednesday, 29th July, 2026 at 10:30 A.M. The
meeting was conducted in accordance with the relevant Circulars issued by the Ministry of
Corporate Affairs (‘MCA’) and the Securities Exchange Board of India (‘SEBI’) in this regard.
The Company Secretary welcomed the Members to the 50th AGM and apprised them on certain
procedural aspects pertaining to their participation at the meeting through VC/OAVM. He further
informed that 92 (Ninety-two) Members attended the Meeting through VC (including
representatives of Body Corporates).
Mr. Bikramjit Nag, Chairman welcomed the shareholders to the Meeting and on requisite quorum
being present, called the Meeting to order. He further informed that the Statutory Registers as
required under the Act and other relevant documents referred to in Notice were available for their
inspection in the electronic mode.
The Chairman welcomed the Directors participated through VC and introduced them to the
members. Mr. Chacko Joseph, Chairman of the Audit Committee and Risk Management Committee,
Mr. Desh Raj Dogra, Chairman of Nomination and Remuneration Committee, Mr. Ashok Bhandari,
Chairman of Stakeholders Relationship Committee, Mr. Sandeep Joseph Abraham, Managing
Director (HAD), Mr Sudip Banerjee, Non-Executive Director, Mr Amar Singh Negi, Executive
Director, Mr C.S. Govindaraj, Executive Director- Manufacturing (HAD), Mrs Sreedevi Pillai,
Independent Director, Mr. Subir Chakraborty, Independent Director, Mr Tarun Kumar Daga,
Independent Director, Mr. Manoj Kumar Vijay, Independent Director, Mr Arup Das, Executive
Director – Engineering Division participated in the meeting. All the Directors participated the
meeting except Mr. Saurav Adhikari, who had requested for leave of absence as he was present in
another meeting of a listed entity at that time.
The Chairman introduced to the members Mr Soumitra Goswami, Chief Financial Officer of the
Company. He also informed the Members that Mr. Rajiv Goyal, Partner of M/s. Price Waterhouse
& Co Chartered Accountants LLP, Chartered Accountants, Statutory Auditors and Mr. S. K. Patnaik,
partner of Patnaik & Patnaik, Company Secretaries, Secretarial Auditors (also acting as Scrutinizers
for the e-voting) and Mr. Dinesh Sha, Partner of M/s. Mani & Co., Cost Accountants, Cost Auditors,
were also present at the Meeting. The Chairman thanked all the Directors, KMPs, Auditors present
at the meeting.
The Chairman remembered the founder Late Bijon Nag and spoke about his vision, principles and
legacy and paid him a tribute. He also remembered and paid tribute to remarkable individuals viz.
Late D.K. Bhattacharya, Late M.V. Subbaraman and Late Inder Walia who all passed away since last
AGM.
The Chairman then briefed the Members about Company’s progress and discussed about each
division and their performance. He briefed the members on the Company's performance for the
Financial Year 2025-26. The Chairman briefed the members about the projects undertaken during
the year 2025-26 and the new projects under evaluation for the year 2026-27.
He also informed that the Outlook for the FY 2026-27 remained positive and that the management
is optimistic that the geopolitical tensions will ease to facilitate the free movement of goods across
international markets and will support the smooth functioning of global supply chains.
With the consent of the Members participated, the Notice convening the AGM, the Statutory
Auditor's Report and Secretarial Audit Report for the year ended 31st March, 2026 were taken as
read. There were no qualifications, observations or adverse remarks in the Auditor's Reports.
In terms of the Notice dated 25th May, 2026 convening the 50th AGM of the Company, the following
Ordinary and Special businesses were transacted at the Meeting through e-voting. Mr. S. K. Patnaik,
partner of M/s. Patnaik and Patnaik, Company Secretaries was appointed as the scrutinizer to
scrutinize the e-voting process conducted prior and during the AGM in a fair and transparent
manner.
Ordinary Business:
1. To receive, consider and adopt the Audited Standalone Financial Statements of the Company
for the year ended 31st March, 2026, including the audited Balance Sheet as at 31st March, 2026,
the Statement of Profit and Loss for the year ended on that date and the reports of the Board of
Directors and Auditors thereon.
2. To receive, consider and adopt the Audited Consolidated Financial Statements of the Company
for the year ended 31st March, 2026 and the Report of the Auditors thereon.
3. To appoint a Director in place of Mr. Collegal Srinivasan Govindaraj (DIN: 10149022), who
retires by rotation and being eligible, offers himself for re-appointment as a Director.
4. To appoint a Director in place of Mr. Sudip Banerjee (DIN: 05245757), who retires by rotation
and being eligible, offers himself for re-appointment as a Director.
Special Business:
5. To ratify the remuneration of M/s. Mani & Co., Cost Accountants (Firm Registration No.
000004), Cost Auditors for the financial year ending 31st March, 2027.
Members present at the Meeting were given an opportunity to ask questions and seek
clarification(s). The Chairman responded to all the questions raised by Speaker Shareholders.
The Chairman informed the Members that the consolidated voting results will be disseminated to
the Stock Exchanges on which the Company's shares are listed and will also be made available on
the website of the Company at www.ifbindustries.com and the National Securities Depository
Limited at www.evoting@nsdl.com within two working days from the conclusion of the Meeting.
The Chairman authorised the Company Secretary to declare the Voting Results and to inform the
