Pursuant to Regulations 30, 34, 50 and 53 of the Securities and Exchange Board of India (Listing
Obligations and Disclosure Requirements) Regulations, 2015 (“SEBI Listing Regulations”), we
wish to inform you that the 44th Annual General Meeting (“AGM”) of the Members of the
Company is scheduled to be held on Saturday, August 22, 2026, at 11:00 A.M. (IST) through Video
Conferencing (“VC”)/Other Audio-Visual Means (“OAVM”), in accordance with the applicable
circulars issued by the Ministry of Corporate Affairs and the SEBI, from time to time.
The Notice convening the 44th AGM along with the Annual Report for the Financial Year 2025-26,
as enclosed herewith, is being sent through electronic mode to all Members and Debenture
Holders whose e-mail addresses are registered with the Company, its Registrar and Share Transfer
Agent (“RTA”), the Depository Participants (“DPs”) or the Depositories as on Friday, July 24, 2026.
Further, in accordance with Regulation 36(1)(b) of the SEBI Listing Regulations, a letter is being
dispatched to those Members whose e-mail addresses are not registered with the Company, its
RTA, DPs or the Depositories, providing the web-link including the exact path through which the
Notice of the 44th AGM alongwith the Annual Report of the Company for the Financial Year 2025-
26 may be accessed.
The Notice and Annual Report are also available on the Company’s website at www.crest.in, on

Dear Shareholders, Partners, and my Team Members,
I am pleased to share the Annual Report of Crest Ventures Limited for FY 2025-26. It was a year of considerable expansion for
the Company, even though the operating environment turned more difficult in the second half, with the escalation in West
Asia, higher crude oil prices and a weaker rupee adding pressure to markets. India remained the fastest growing major economy
through the year, and each part of our business made good progress.
In Real Estate, we now have the largest project pipeline in the Company’s history, across Mumbai, Chennai, Jaipur and Raipur,
spanning residential, mixed-use, commercial and institutional projects. We added two new projects this year, Crest Golfshire
in Chembur, Mumbai and Crest Saidale in Breach Candy, Mumbai and continued pre-construction work on Crest Legacy
in Dadar, Mumbai, the land parcel we had earlier acquired outright. Architectural planning and regulatory groundwork is
underway. Our ongoing projects are moving forward well. Crest Oaks, Marol, Mumbai completed construction with over
70% of its units sold, Crest Park in Jaipur sold out its first phase, and Crest Link in Khar, Mumbai handed over possession to
residential buyers while leasing its retail space to marquee tenants. One National Park, our joint venture with The Phoenix
Mills in Chennai, received its Occupancy Certificate and is now over 65% leased. We expect Crest Oaks and Crest Uno,
Bandra, Mumbai to add to revenue over the year, and Crest 4 Pali Hill, Mumbai Crest Saidale and Crest Golfshire to contribute
over the next two to three years.
Our Financial Services business delivered a strong performance this year. Revenue from our Non-SLR desk grew around 30%,
and our Derivatives desk grew 37%, and we expect the Non-SLR business to keep gaining market share in FY 2026-27. Our
GIFT City unit moved past its set-up phase and started generating revenue this year; our focus there now is on onboarding
institutional clients and adding new products.
On a consolidated basis, our balance sheet grew 35% to ` 1,925 crores, and cash and cash equivalents more than doubled to
` 129 Crores. The Board has recommended a dividend of ` 1 per equity share, in line with previous years.
We have reached a strength of 200+ employees across the Crest Group, and spent much of FY 2025-26 strengthening our
leadership and execution team in Real Estate to manage a larger and more complex portfolio. Going into FY 2026-27, our
project pipeline is healthy and robust, spanning multiple geographies and asset classes, and ranging in size from small to large.
