(IST) through Video Conferencing (“VC”) without the physical presence of the Unitholders at a common venue, in compliance with the provisions of the Securities and Exchange Board of India (Infrastructure Investment Trusts) Regulations, 2014 (“SEBI InvIT Regulations”) read with SEBI Master Circular No. SEBI/HO/DDHS-PoD-2/P/CIR/2025/102 dated July 11, 2025 (“SEBI Master Circular”), as amended from time to time, and other applicable circulars issued by SEBI in this regard, from time to time. Priyanka Sharma Company Secretaries, Scrutinizer Mr. Shubham Jain, Compliance Officer & Company Secretary of Gawar Investment Manager Private Limited, acting as the Investment Manager to Capital Infra Trust, welcomed all the Unitholders, Directors, Key Managerial Personnel and other invitees present at the Meeting and informed that, in accordance with the SEBI InvIT Regulations read with SEBI Master Circular, the meeting is being held through VC without the physical presence of Unitholders at a common venue ensuring meaningful participation in a secure, efficient, and transparent manner. He informed the Unitholders that the Notice convening the Meeting together with the Annual Report of the Trust for the Financial Year 2025-26 had been electronically circulated on June 29, 2026 to all eligible Unitholders whose e-mail addresses were registered with the Registrar and Transfer Agent and the Depositories. He further informed that, in accordance with the applicable regulatory provisions governing meetings held through VC, the facilities for appointment of proxy was not available. He further introduced the Directors and Key Managerial Personnels of Investment Manager along with representatives of Trustee to the InvIT, Statutory Auditors, Valuer and Scrutinizer present at the meeting CAPITAL Infra Trust 0124 – 4920139 Registration no: (formerly known as National Infrastructure Trust) compliance@capitalinfratrust.com IN/InvIT/23-24/0029 Unit No. 1401 -1403, 14th Floor, Tower B, SAS Tower, Medicity, Sector - 38, Gurugram - 122001, Haryana through Video Conference from their respective locations. He requested Mr. Yudhvir Singh Malik, Chairman of the Board to confirm the presence of Quorum and proceed the meeting. Mr. Yudhvir Singh Malik confirmed the presence of quorum and called the meeting in order. He further welcomed the Unitholders and other participants at the Meeting and gave opening remarks enumerating the highlights of the Financial Year 2025-26, vision of the Trust and its outlookand thereafter handed over to Mr. Hare Krishna, Chief Executive Officer for performance highlights for the Financial Year 2025- Mr. Hare Krishna, Chief Executive Officer welcomed the Unitholders and other participants at the Meeting and presented the key performance highlights of the InvIT for the Financial Year 2025-26. Following the CEO's presentation, the proceedings were handed back to the Company Secretary. The Company Secretary informed the Unitholders that they had been provided an opportunity to submit their queries in advance from the date of dispatch of the Notice, i.e., June 29, 2026, up to July 27, 2026, on the designated e-mail address mentioned in the Notice and that the queries received had been suitably responded to. He further informed that any additional queries could be sent to the Trust through the designated e-mail address and the same would be responded appropriately. He further explained the procedure for the Question and Answer session and invited the registered speaker Unitholders to express their views and raise their queries. The speaker Unitholders participated in the Meeting and sought clarifications on various matters concerning the Trust. The management responded to the queries raised by the speaker Unitholders. The Company Secretary further informed that any query remaining unanswered during the Meeting would be responded to separately through e- mail. Mr. Hare Krishna answered the queries of speakers raised during the meeting. Post Question and Answer session, the Company Secretary informed the Unitholders that, as the Meeting was being conducted through VC and the resolutions set out in the Notice were being transacted through remote e-voting and e-voting during the Meeting, the requirement of proposing and seconding the resolutions was not applicable.
