Pursuant to Regulation 30 of LODR Regulations and in continuation to our earlier intimation
dated 12th December, 2024 (copy enclosed), regarding the arbitration award received by
Kurukshetra Expressway Private Limited (“KEPL”, a joint venture of the Company) against the
National Highways Authority of India (“NHAI”), inter-alia, awarding various payments including
Termination Payment in respect of Road project terminated by KEPL in the year 2021, which
was challenged by NHAI under Section 34 of the Arbitration and Conciliation Act, 1996.
This is to further update that Hon’ble High Court, vide its order dated 28th July, 2026, has
partially set aside the arbitral award, wherein the award in respect of claim relating to
Termination Payment and interest thereon is set aside, while the awards on all other claims
are upheld. KEPL, based on the legal advice, believes that it has strong case to challenge the
claim set aside by Court and is taking appropriate legal steps, including preferring an appeal.
The Company has received aforementioned order on 28th July, 2026 at about 3:22 p.m.

This is in accordance with Regulation 30 of LODR Regulations and in furtherance of earlier
intimations made by JMC Projects (India) Limited, now amalgamated with the Company, dated
7th October, 2021 & 1st November, 2021, and intimation made by the Company on 17th August,
2024 (copies enclosed). Kurukshetra Expressway Private Limited (“KEPL”, a 49.57% joint
venture of the Company), wherein we had informed that KEPL received two arbitration awards
(“Awards”) in its favour against the National Highways Authority of India (“NHAI”), inter-alia,
awarding various payments including “Termination Payment” in respect of Road project
terminated by KEPL in the year 2021. This is to further update that NHAI has served upon KEPL
advance copies of the Section 34 application challenging the Awards dated 16th August, 2024.
The aforementioned advance copies were forwarded to the KEPL by its legal counsels yesterday
i.e. on 11th December, 2024 at about 05:49 p.m. and 05:50 p.m. respectively.

Authority of India (“NHAI”), inter-alia, awarding various payments including “Termination
Payment” in respect of Road project terminated by KEPL in the year 2021.
KEPL (a joint venture of the Company) is currently studying the awards. Financial impact, if any,
on the Company can be ascertained only upon crystallization of awarded claims to KEPL and it
will be disclosed in due course.

Dear Sir/ Madam,
This is with reference to M/s. Kurukshetra Expressway Private Limited (KEPL}, a Joint Venture Company in which JMC
Projects (India) Limited holds 49.57% equity stake. KEPL had entered into a Concession Agreement on 13.07.2010 with
National Highways Authority of India (NHAI) for Four Lanning of Rohtak-Bawal Section of NH-71 in the State of Haryana
on Design, Build, Finance, Operate and Transfer (DBFOT) basis.
We wish to inform you that KEPL vide its letter dated October 07, 2021 has submitted Notice of Termination of
Concession Agreement to NHAI due to forcible suspension of toll collection / user fee on account of the farmer's
agitation / protest with effect from December 25, 2020. The event of forceful suspension of toll collection/ user fee
due to farmer's agitation/ protest amounts to Force Majeure Event of Concession Agreement. Accordingly, details as
required under Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 read with
SEBI Circular No. CIR/CFO/CM D/4/2015 dated September 09, 2015 are given hereunder:
