INFORMATION REGARDING 63" ANNUAL GENERAL MEETING
The 63" Annual General Meeting ("AGM") of the shareholders of the
Company will be held through Video Conferencing ("VC") on Thursday,
August 27, 2026 at 11:00 a.m. (IST) in compliance with all the applicable
provisions of the Companies Act, 2013 and the rules made thereunder
and the Securities and Exchange Board of India (Listing Obligations and
Disclosure Requirements) Regulations, 2015 (“SEBI Listing
Regulations”) read with allthe applicable circulars on the matter issued
by the Ministry of Corporate Affairs ("MCA") and the Securities and
Exchange Boarodf India ("SEBI"), to transact the business setout in the
Notice calling the AGM.
In line with MCA and SEBI circulars, the Annual Report for the financial
‘year 2025-26 including Notofi thec AeGM will be sent, electronically, to all
those equity shareholders holding shares as on Friday, July 24, 2026 and
whose e-mail addresses are registered with the Regisirar and Transfer
1t (“RTA") / Depositories. Further in compliance with Regulation
36(1)(b) of SEBI Listing Regulations, the Company will be sending letters,
inter alia, containing web link to access the Annual Report for financial
year 2025-26, including Notice of AGM, to those sharehoiders whose
‘email address are not registered with the Registrar and Transfer Agent /
Degosilories. The said Annual Report including Notice will aiso be made
availabloen Company’s website at www.borosirenewables.com and on
the websites of BSE Limited and National Stock Exchange of India Limited
at www/ .com and www.nseindia com
Depository Limited ("NSDL") at www.evoting.nsdl.com, being
appointed by the Company for facilitating VC and voling by electronic
means, including remote e-voling ande-vofing during the AGM (“e voting™).
Manner of casting vote(s) through e-voting and attending AGM
through VC:
‘The Company wil be providing to the shareholders the facility to exercise
their right to vote by electronic mears i.e. e-voting facility. The process
and manner of attending the AGM through VC and e-voting (including
e-voting by shareholders holding shares in_physical fom or by
shareholders who have not registered their email addresses) is given in
the Notice of the AGM.
Manner of registering/ updating e-mail addresses, bank account details,

Special Window for Re-Lodgement of transfer requests of Physical
Shares
Pursuantto SEBI CirculaNro. SEBUHOMIRSDIMIRSD-PoDIP/CIR12025/97
dated July 2, 2025, SEBI introduced a special window for the re-lodgement of
transfer requests pertaining to physical shares that were originally lodged
prior toApril 1, 2019 but were rejected, returned, or remained unatiended
due to deficiencies. The special window was initially made available from
July7, 202510 January 6, 2026.
Subsequently, SEBI, vide Circular No. HO/38/13/11(2)2026-MIRSD-
POD/I/375012026 dated January 30, 2026, extended the re-lodgement
window. Accordingly, the facility remained available from February 5,
2026 o February 4, 2027. During this period, eligible shareholders may
re-lodge such shares for transfer. Please note that such transfers will be
processed in dematerialized mode only. Shareholders are encouraged to
take advantage of this opportunity and for further assistance reach out to
the Company’s RTA, MUFG Intime India Private Limited at the address
and email, mentioned above.
