Update on Sale of stake in the Associate Company

Gayatri Highways Ltd (GHL) provided an update on the sale of its 49% stake in associate company HKR Roadways Limited, stemming from a Securities Purchase Agreement dated February 12, 2026. The transaction is now slated for completion on or before September 30, 2026, contingent on HKR fulfilling specific conditions. GHL expects to receive approximately INR 200 Crores from the sale, with an additional estimated INR 48 Crores subject to Wholesale Price Index related contingent events. HKR contributed a minor 0.63% to GHL's net profit in FY2024-25. The buyer, Cube Highways and Infrastructure V PIE. Limited, is not a related party.
