Rajeeva Executive Director 3. Sh. Ravi Mehra Executive Director 4. Sh. Rajendra Prasad Gupta Director 77 Shareholders attended the Annual General Meeting through Video Conferencing. 1. Sh. Rajesh C Pandey – Board Secretary & Chief General Manager, welcomed the shareholders at the 16th Annual General Meeting of shareholders of the Bank and requested the Chairman of the meeting to address the Shareholders and thereafter to take up Agenda items. 2. Sh. Swarup Kumar Saha – Managing Director and Chief Executive Officer of the Bank, presided over the Meeting in terms of the Regulation 59 of Punjab & Sind Bank (Shares & Meetings) Regulations, 2008. 3. The Chairman of the Meeting (the Chairman) welcomed the Shareholders pursuant to Regulation 59 of the Punjab & Sind Bank (Shares and Meetings) Regulations, 2008. Necessary Quorum being present, The Chairman of the Meeting Called the Meeting to Order. 4. The Chairman informed that a notice was published in Business Standard (Hindi and English Newspaper) specifying the date and time of the AGM, availability of the Notice on the Bank’s website and the websites of the Stock Exchanges, the manner of registration of email IDs by Members (both physical and demat) who are yet to register their email IDs with the Bank, and the manner of voting through remote e- voting or through the e-voting system during the AGM, post the dispatch of the Notice on 07th July, 2026. The Notice of this Meeting and the Annual Report has been hosted on the website of the Bank and on the websites of NSE, BSE and CDSL. 5. The Chairman then addressed the shareholders. The Chairman then moved the resolutions as per the notice of the 16th AGM: a. Agenda Item No.1: To discuss, approve and adopt the Audited Balance Sheet as at 31st March 2026, Profit and Loss Account of the Bank for the year ended 31st March 2026, Report of the Board of Directors on the working and activities of the Bank for the period covered by the Accounts and the Auditors’ Report on the Balance Sheet and Accounts. b. Agenda Item No.2: To Declare dividend for the Financial Year 2025-26. He informed that the Board of Directors of the Bank at its meeting held on 27th April 2026 have recommended dividend at the rate of Rs.0.39 per Equity Share (i.e. 3.90% of the face value) to the shareholders for declaration. The dividend shall be paid to those shareholders whose names appear in the Register of Shareholders maintained by the Bank alongwith the List of Beneficial Shareholders as received from the Depositories as on 21st July 2026, being the record date for the said purpose. The dividend declared will be paid within 30 days from the date of this meeting. 7. The Chairman informed that in terms of Regulation 44 of the SEBI (Listing Obligation & Disclosure Requirements) Regulations, 2015 with Rule 20 of Companies (Management and Administration) Rules, 2014 as amended, the Bank had provided remote e-voting facility to the shareholders, through Central Depository Services (India) Limited (CDSL) from 10.00 a.m. on 24th July 2026 till 5.00 p.m. on 27th July, 2026. He is also informed that with a view to enable shareholders who had not voted during the remote e-voting process and wanted to vote during the AGM, e-voting facility has been provided by CDSL. 8. The Chairman requested the shareholders who had not cast their votes to vote on the agenda items during the course of the Meeting. 9. The Chairman of the Meeting informed that the Bank has appointed M/s S N Ananthasubramanian & Co, Company Secretaries, as Scrutinizer to oversee the remote e-voting and the e-voting process. 10. The Chairman then invited participation of the shareholders on the agenda items as contained in the Notice of this meeting. He also informed that the Bank had not received any query from the shareholders. 11. 31 Shareholders made their observations / suggestions and raised queries. The Chairman of the Meeting while thanking the shareholders for their participation, responded and provided clarifications wherever necessary. Page 2 of 3 (भारत सरकार का उपक्रम) (A Govt. The Chairman of the Meeting then announced the conclusion of the discussion and informed that the voting will continue for 15 more minutes and the Meeting will stand closed thereafter. 13. Based on the consolidated report (Remote e-voting and E-voting at the Meeting) issued by the Scrutinizer, all the agenda items were declared as passed with Requisite Majority: a. Agenda Item No.1: To discuss, approve and adopt the Audited Balance Sheet as at 31st March 2026, Profit and Loss Account of the Bank for the year ended 31st March 2026, Report of the Board of Directors on the working and activities of the Bank for the period covered by the Accounts and the Auditors’ Report on the Balance Sheet and Accounts.
