Pursuant to Regulations 30, 33, 51 and 52 read with Part A and Part B of Schedule III of the
Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements)
Regulations, 2015, as amended from time to time (“SEBI Listing Regulations”), we wish to inform
you that the Board of Directors of the Company at its Meeting held today i.e. July 28, 2026, has
inter alia, approved the following:
(i) Unaudited Standalone and Consolidated Financial Results for the quarter ended June 30,
2026 (“Unaudited Financial Results”) of the Company.
(ii) Based on the recommendations of the Nomination and Remuneration Committee and the
Audit Committee, re-appointment of Ms. Sarita Kamath as the Chief Compliance Officer of
the Company for a further period of 3 years, with effect from October 1, 2026, pursuant to
Reserve Bank of India circular dated April 11, 2022 on ‘Compliance Function and Role of
Chief Compliance Officer (CCO) – NBFCs’.
In this connection, please find enclosed the following documents:
(a) Copies of the Unaudited Financial Results of the Company together with the Limited Review
Reports issued by M/s. M S K A & Associates LLP, Chartered Accountants and M/s. M P
Chitale & Co., Chartered Accountants, Joint Statutory Auditors of the Company. The Limited
Review Reports are submitted with unmodified opinion.
(b) Information as per Regulation 52(4) of the SEBI Listing Regulations.
(c) Security Cover Certificate in the prescribed format in terms of Regulation 54 of the SEBI
Listing Regulations.
(d) Statement indicating the utilization of issue proceeds of Non-Convertible Debentures and a
statement indicating Nil deviation and variation, pursuant to Regulations 52(7) and 52(7A) of
SEBI Listing Regulations and Circular issued by SEBI in this regard.
(e) Statement indicating no deviation or variation in utilization of proceeds raised through Initial

SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, as amended
To The Board of Directors of Tata Capital Limited
1. We have reviewed the accompanying Statement of Standalone unaudited financial results of Tata Capital Limited
(hereinafter referred to as 'the Company'/ 'TCL') for the quarter ended June 30, 2026 ('the Statement') attached
herewith, being submitted by the Company pursuant to the requirements of Regulation 33 and Regulation 52 read
with Regulation 63(2) of the Securities and Exchange Board of India (Listing Obligations and Disclosure
Requirements) Regulations, 2015 as amended ('the Regulations').
2. This Statement, which is the responsibility of Company's Management and has been approved by the Company's
Board of Directors, has been prepared in accordance with the recognition and measurement principles laid down in
Indian Accounting Standard 34 'Interim Financial Reporting', prescribed under Section 133 of the Companies Act,
2013('the Act') read with relevant rules issued thereunder ('Ind AS 34'), the circulars, guidelines and directions
issued by the Reserve Bank of India (the 'RBI') from time to time (the 'RBI Guidelines') and other recognised
accounting principles generally accepted in India, and is in compliance with the Regulations. Our responsibility is
to express a conclusion on the Statement based on our review.
3. We conducted our review of the Statement in accordance with the Standard on Review Engagements ('SRE') 2410,
"Review of Interim Financial Information Performed by the Independent Auditor of the Entity" issued by the
Institute of Chartered Accountants of India. This standard requires that we plan and perform the review to obtain
moderate assurance as to whether the Statement is free of material misstatement. A review of interim financial
information consists of making inquiries, primarily of persons responsible for financial and accounting matters, and
applying analytical and other review procedures. A review is substantially less in scope than an audit conducted in
accordance with Standards on Auditing specified under section 143(10) of the Act and consequently does not
enable us to obtain assurance that we would become aware of all significant matters that might be identified in an
audit. Accordingly, we do not express an audit opinion.
4. Based on our review conducted as stated in paragraph 3 above, nothing has come to our attention that causes us to
believe that the accompanying Statement prepared in accordance with the recognition and measurement
principles laid down in Ind
