Parent Company b) TTK British Holdings Limited and its 100% Subsidiary Company Horwood Homewares Limited -Wholly Owned Foreign Subsidiary Company c) Ultrafresh Modular Solutions Limited -51% Indian Subsidiary Company 4 The Group operates under one segment of Kitchen & Home appliances. 5 The Parent Company's other expenses include the following: a) Expenditure on account of CSR to the tune of t 1.43 Crores in Q1 of current year (PY Q1 : t 1,59 Crores, PY 2025-26: ~ 6.51 Crores) b) Expenditure of, 12.41 Crores in Q1 of current year (PY Qt : t 17.71 Crores, PY 2025-26: f 82.65 Crores) being expenses attributable to Company's ongoing efforts over next few quarters to achieve overall business excellence and bringing in sustainable cost savings. 6 During the Financial Year 2025-26, the Parent Company had introduced a Voluntary Retirement Scheme al the Factory located in Hosur and some of the Workmen have opted to retire under the Scheme. A sum of f 9.98 Crores had been debited to the Statement of Profit & Loss, being the amount payable to these Employees under the Scheme and the same has been shown under" Exceptional items". 7 On November 21, 2025, the Government of India notified the four Labour Codes, consolidating 29 existing labour laws, following which the Ministry or Labour & Employment issued the Central Rules and related FAQs. Based on the information available and in line with the guidance issued by the Institute of Chartered Accountants of India, the Company assessed the incremental impact arising from the change in the definition of "wages" and, considering it to be material, regulatory-<lriven and non-recurring in nature, presented the same as an Exceptional item in the Financial Statements for the year ended March 31, 2026. The estimated impact recognised as an Exceptional item in the year ended March 31, 2026 has been reassessed during the quarter, following the alignment of the Parent Company's salary structures with the Labour Codes. The consequent adjustment to the provision has been presented as an Exceptional item in the Financial Statements for the quarter ended June 30, 2026. B The figures in respect of the results for the quarter ended on March 31, 2026 are the balancing figures between the audited financials in respect of full financial year and the unaudited published year-to-date figures up to the third quarter of the respective financial year, where the statutory auditor has expressed an unmodified conclusion on [Showing first 8,000 characters — download PDF for full document]
