I. Reason for Change Mr. Manmohan Juneja appointed as Chairman of the Board with effect from 4th August 2026 pursuant to Article 99 of the Articles of Association of the Company. II. Date of appointment & term of appointment Mr. Manmohan Juneja appointed as Chairman of the Board with effect from 4th August 2026. III. Brief profile Mr. Manmohan Juneja is qualified B. Com (Gold Medal), Fellow Chartered Accountant (FCA), Membership number 087296, and Advanced Certification Course in Competition Law and Market Regulation from Indian Institute of Corporate Affairs {IICA}, Certification on Arbitration, Mediation and Conciliation (ADR) from ICAI. Nature of Functional Experience in brief: a) Administration of Companies Act and Limited Liability Partnership Act (LLP Act) by performing all functions of ROC from Registration of Companies/LLPs, maintaining Registry, including electronic Registry and all such statutory functions. b) Liquidation of companies as Official Liquidator attached to High Court. c) Vast experience of conducting Inquiries, Inspections and Investigations, of corporate irregularities and corporate frauds under Companies Act and LLP Act including forming of opinion to assign/order Investigations to Serious Fraud Investigation Office (SFIO) and processing of reports submitted by SFIO to grant sanction for action on findings. d) Conducted many significant Investigations under Competition Act (Anti-Trust Act) as Additional Director General, Investigation besides dealing with other aspects under Competition Act on Cartels and Dominant undertakings. These cases were significant cases where UoI had filed Petitions u/s 241/242, 246 r/w 339 of the Companies Act, 2013 (the Act) in public interest for change of management by appointing Government directors and a few cases of winding up on the allegations of Fraud. This includes many cases widely covered in the media. i) Dealing with cases for reopening and recasting of financial statements u/s 130 of the Act and against Auditors u/s 140(5) of the Act for their removal and disqualifications. Mr. Manmohan Juneja is having a total experience of about 37 years as stated above. IV. Disclosure of relationships between Directors Mr. Manmohan Juneja is not related to any of the Director of the Company, and he does not hold any share in the Company. V.
