Sub: Notice of the 98th Annual General Meeting (AGM) of The South Indian Bank Ltd. and
Annual Report for the Financial Year 2025-26: Intimation under Regulation 34 and other
applicable provisions of Securities and Exchange Board of India (Listing Obligations and
Disclosure Requirements) Regulations, 2015
In continuation to our letter no. SEC/ST.EX.STT/54/2026-27 dated July 16, 2026, intimating about
the 98th Annual General Meeting (AGM) of the Bank on Thursday, August 20, 2026 through Video
Conferencing (“VC”) / Other Audio Visual Means (“OAVM”) in compliance with Companies Act,
2013 read with General Circulars issued by the Ministry of Corporate Affairs (MCA) and all other
applicable laws and circulars issued by MCA, Securities and Exchange Board of India (SEBI) and as
per other Regulatory Guidelines in this regard, Shareholders will be able to attend and participate in
the AGM only through VC / OAVM.
Pursuant to Regulation 34(1) of Securities and Exchange Board of India (Listing Obligations and
Disclosure Requirements) Regulations, 2015 (“SEBI Listing Regulations”), we are submitting
herewith the Annual Report of the Bank for the Financial Year 2025-26 including Business
Responsibility and Sustainability Report and the Notice of 98th AGM, which is being sent through
electronic mode to the shareholders of the Bank.
Further, in terms of Regulation 44 of SEBI Listing Regulations and Section 108 of the Companies
Act, 2013 read with the Companies (Management & Administration) Rules, 2014 as amended, the
Bank is providing electronic voting facility to its members to exercise their right to vote by electronic
means on any or all the items of business as set out in the Notice, through National Securities
Depository Limited (NSDL) e-voting platform, which will commence on Sunday, August 16, 2026
at 10:00 AM (IST) and ends on Wednesday, August 19, 2026 at 5:00 PM(IST). A person, whose
name is recorded in the Register of Members or in the Register of Beneficial Owners maintained by
the Depositories as on Record date/Cut-Off date i.e. Thursday, August 13, 2026 only shall be entitled
to avail the facility of remote e-voting or e-voting at the meeting. The e-voting module will be
disabled after 5:00 PM on Wednesday, August 19, 2026.

The facility for e-voting will also be made available during the AGM, and those shareholders present
in the AGM through VC/OAVM facility, who have not casted their vote on the resolutions through
remote e-voting and are otherwise not barred from doing so, shall be eligible to vote through the e-
voting system at the AGM.
The Notice of 98th AGM and the Annual Report for the Financial Year 2025-26 including Business
Responsibility and Sustainability Report are being uploaded on the Bank’s website under

26 and on the website of National Securities Depository Limited (NSDL), www.evoting.nsdl.com .
