Dear Sir/Madam, Pursuant to the provisions of Regulation 30 and 33 and other applicable regulations of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (the “Listing Regulations”) (as amended from time to time, we would like to inform you that the Board of Directors (“the Board”) of the Company at its Meeting held on Wednesday, 04** November, 2026 at the registered office of the company has, inter alia, approved: 1. Un-Audited Financial Results for the Quarter and Half Year ended on 30% September, 2026, and took on record the Limited Review Report from the Statutory Auditors on the same. A copy of the Unaudited Financial Results (Standalone) along with the Limited Review Report by the Statutory Auditors of the Company is enclosed herewith. 2. The Board has approved the expansion of the Company's existing manufacturing facilities by installing one additional Indigo Dyeing Range (IDR) Line, adding 34 Air Jet Looms on addition to the existing 60 looms and setting up a new solar power project of 1,300 KVA (1.3 MW). The proposed expansion will increase the Company's manufacturing capacity by 42.17 lakh meters. The project involves an estimated investment of 24,181.63 lakh and the additional manufacturing capacity is expected to commence commercial production from April 2027. BHILWARA SPINNERS LTD. Rajasthan We have reviewed the accompanying statement of unaudited financial results of Bhilwara Spinners Limited for the quarter ended on 30th September, 2026, and year to date attached herewith, being submitted by the Company pursuant to the requirement of Regulation 33 of the SEBI (Listing Obligations and Disclosure Requirement) Regulation , 2015 as amended. This Statement, which is the responsibility of the Company's Management and approved by the Board of Directors, has been prepared in accordance with the recognition and measurement principles laid down in the Indian Accounting Standard 34, ("Ind AS 34") "Interim Financial Reporting" prescribed under Section 133 of the Companies Act, 2013 as amended, read with relevant rules issued thereunder and other accounting principles generally accepted in India. Our responsibility is to express a conclusion on the Statements based on our review. We conducted our review of the Statement in accordance with the Standard on Review Engagements (SRE) 2410 "Review of Interim Financial Information Performed by the Independent Auditor of the Entity", issued by the Institute of Chartered Accountants of India. This standard requires that we plan and perform the review to obtain moderate assurance as to whether the financial statements are free of material misstatement. A review is limited primarily to inquiries of company personnel and an analytical procedure applied to financial data and thus provides less assurance than an audit. We have not performed an audit and accordingly, we do not express an audit opinion. Based on our review conducted as above, nothing has come to our attention that causes us to believe that the accompanying Statement of Unaudited standalone financial results prepared in accordance with recognition and measurement principles laid down in the aforesaid Indian Accounting Standards (‘Ind AS') specified under Section 133 of the Companies Act, 2013 as amended, read with relevant rules issued thereunder and other accounting principles generally accepted in India, has not disclosed the information required to be disclosed in terms of the Listing Regulations, including the manner in which, it is to be disclosed, or that it contains any material misstatement.
