ON JULY 27, 2026 AT 11:00 AM
The 5th Annual General Meeting (“AGM” or “Meeting”) of the Members of Life Insurance
Corporation of India (“LICI” or “Corporation”) was held on July 27, 2026 at 11:00 a.m. (IST) through
Video Conferencing (VC)/ Other Audio-Visual Means (OAVM). Seven (07) Directors including
CEO & MD, Corporation’s Auditors, Secretarial Auditors, Key Managerial Personnel (KMP)
including Company Secretary (CS) were present through VC. One Hundred Seventy-Six (176)
Members attended the AGM including the registered speaker shareholders and Mr. Abdul Gufran,
Under Secretary, Department of Financial Services, Ministry of Finance, Government of India
represented the Central Government.
The Company Secretary in his opening remarks briefed about the regulatory provisions governing
the conduct of the AGM, including general guidelines relating to meetings conducted through VC
and the facilities made available to the members for attending the AGM. He also informed the
members that live streaming of the meeting was being webcast on NSDL’s website. He informed that
the Board of Directors of the Corporation has resolved that Shri R. Doraiswamy, CEO & MD shall
chair the Board and General Meetings of the Corporation. Company Secretary confirmed that the
requisite quorum was present.
Thereafter, Shri R Doraiswamy, CEO & MD of the Corporation, chaired the AGM, (hereinafter
referred as “Chairperson”) and welcomed the members. On confirmation by the Company Secretary
that the requisite quorum was present, the Chairperson called the meeting in order. After his opening
remarks, he called out the names of the Directors and requested them to introduce themselves with
their respective locations. Chairpersons of Audit Committee, Nomination and Remuneration
Committee, Stakeholder Relationship Committee, Risk Management Committee, IT Strategy
Committee and ESG Committee were present in the meeting.
The Chairperson delivered his speech and briefed the members on the performance and activities of
the Corporation.
He stated that the notice for convening the 5th AGM and the Annual Report for FY 2025-26 were sent
by mail to members of the Corporation on July 03, 2026 and it may be taken as read. He then stated
that there were no qualifications, observations or comments in the Statutory Auditors’ or Secretarial
Auditors’ Reports for FY 2025-26, on the financial transactions or matters having any adverse effect
on the functioning of the Corporation.
He thereafter introduced the Seven (7) items of business set out in the notice including Five (5) items
of Ordinary Business and Two (2) items of Special Business which were transacted through electronic
voting:

3 To consider and adopt the Annual Report of the Corporation Ordinary
for the financial year ended on March 31, 2026, in terms of
Section 27 of the Life Insurance Corporation Act, 1956.
4 To declare final dividend of ₹10/-per equity share of face Ordinary
value of ₹10/- each for the financial year ended on March 31,
2026 as recommended by the Board in terms of Section 28B
of the Life Insurance Corporation Act, 1956.
5 Appointment of Zonal and Divisional Auditors of the Ordinary
Corporation and fix their remuneration

Government Nominee Director of the Corporation
7 Approval of material related party transactions of the Ordinary
Corporation with LIC Mutual Fund Asset Management
Limited (“LIC MF Asset Management”)
He stated that the Corporation had provided remote e-voting facility to the members and Beneficial
Owners of shares. The e-voting period commenced at 09.00 am (IST) on Thursday, July 23, 2026 and
concluded at 05:00 pm (IST) on Sunday, July 26, 2026. The e-voting was disabled at the conclusion
of the said voting period, in compliance of the applicable provisions. The Corporation had appointed
Smt. Aparna Gadgil, failing her Shri. S.N. Vishwanathan, of M/s. S.N. Ananthasubramanian & Co.,
Company Secretaries, as Scrutinizer for conduct of the e-voting.
Chairperson informed that the members, who had not cast their votes earlier through remote e-voting,
could cast their votes during the course of the AGM, to complete e-voting on all the Seven (7)
resolutions set out in the AGM Notice, through e-voting facility which was enabled before the
meeting. It was further informed that the e-voting will remain open for 15 minutes after the conclusion
of the AGM.
Chairperson thereafter invited the shareholders who had registered their name as speakers to express
their views and raise queries, on the Corporation’s Financial Statements, Board Report and Auditor’s
Report, within the maximum duration of two (2) minutes allotted for each speaker. Twenty-Three
(23) Speaker Shareholders out of Thirty-five (35) registered speaker shareholders spoke, raised
queries on the items of business and gave suggestions on various matters related to the operations of
the Corporation. After the speakers concluded, Chairperson gave his consolidated response to the
queries/suggestions of the shareholders.

It was informed that the results of e-voting will be declared by the Company Secretary, as authorized
by Chairperson, on or before July 29, 2026, upon receipt of Scrutinizer’s Report as per the Regulation
44 (3) of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 and would also
be available on the websites of the Corporation, BSE Limited, National Stock Exchange Limited and
NSDL for the information of the shareholders.
At the conclusion of the meeting, Chairperson conveyed his sincere thanks to all the members and
other participants in the meeting, for their kind co-operation in conducting the AGM and declared the
meeting as closed.
The AGM concluded at 1.35 p.m. on July 27, 2026.
