Dear Sir/Madam, Pursuant to Regulation 30 and 33 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, we do hereby inform you that the meeting of the Board of Directors of the Company held today i.e. 27th July, 2026 inter-alia approved the followings: 1. The un-audited Financial Result for the first quarter ended 30th June, 2026 along with Limited Review Report issued by Statutory Auditors. 2. Payment of Remuneration to Mr. Ajay Virmani (DIN: 00758726), Managing Director of the Company w.e.f. 1st April, 2027, subject to the approval of members in ensuing Annual General Meeting. 3. Payment of Remuneration to Mr. Madhav Dhir (DIN: 07227587), Whole Time Director of the Company, w.e.f. 1st April, 2027, subject to the approval of members in ensuing Annual General Meeting. 4. Re-appointment and payment of remuneration to Mr. Deepak Mathur (DIN: 07092786) as Whole Time Director of the Company for a further term of 3 years w.e.f. 19th February, 2027, subject to the approval of members in ensuing Annual General Meeting. 5. Increase in the limit of Managerial Remuneration payable to the Managing Director, Whole Time Directors and Directors of the Company, subject to the approval of members. 6. Change in Registrar and Share Transfer Agent (RTA) of the Company from M/s Alankit Assignment Ltd to M/s Beetal Financial & Computer Services(P) Limited M/s Alankit Assignment Ltd will continue to serve as the Company’s RTA until the completion of data transition, shifting of electronic connectivity, and other related procedures, along with receipt of necessary confirmations from NSDL and CDSL. The formalities for change of RTA including documentation, execution of agreement, shifting of electronic connectivity and transition of data will be done by the Company in due course. 7. Increase the borrowing limit upto Rs. 500.00 Cr, in excess of the limit as prescribed under Section 180(l)(C) of the Companies Act, 2013, subject to the approval of the members in the ensuing Annual General Meeting. 8. Creation/Modification of Mortgage and/or Charge over the moveable and immoveable properties of the Company upto Rs. 500 Cr. under section 180(1)(a) of the Companies Act, 2013 subject to the approval of the members in the ensuing Annual General Meeting. 9. Considered and approved the Lords Chloro Alkali Employee Stock Option Scheme – 2026 (“Scheme”), brief details of which are as under: a. The maximum number of Options that may be granted in one or more tranches, pursuant to this Scheme shall not exceed 10,00,000 (Ten Lakh) Options which shall be convertible into equal number of Shares not exceeding 10,00,000 (ten lakh) Equity Shares having face value of Rs. 10/- each. b. The Scheme shall be administered by the Nomination and Remuneration Committee of the Company and shall be implemented through direct route for extending the benefits to the eligible employees by way of fresh allotment from the Company. 10. Approved the appointment of M/s Corporate Professionals Capital Private Limited, a category I Merchant Banker having registration number: INM000011435, for implementation of the Scheme till the stage of obtaining in-principle approval from the recognized stock exchanges in terms of Securities and Exchange Board of India (Share Based Employee Benefits and Sweat Equity) Regulations, 2021. 11. Board’s Report along with Corporate Governance Report, Management Discussion & Analysis and all other necessary annexures for the financial year ended March 31, 2026 12. Notice of the 47th Annual General Meeting (AGM) of the Company will be convened on Friday, 11th September, 2026.
