Considered and approved the Unaudited Standalone and Consolidated Financial Results of the Company for the quarter and half year ended September 30, 2026. 2. Based on the recommendation of Nomination and Remuneration Committee and subject to the approval of the Exchanges, Clearing Corporations and Shareholders, approved the appointment of Mr. Kishor Purshottam Thakkar (DIN: 00025021) as an Independent Director of the Company, not liable to retire by rotation, to hold office for a term of 5 (five) consecutive years with effect from December 14, 2026, till December 13, 2031 (Both the days inclusive). Further it is hereby confirmed that he is not debarred from holding the office of director by virtue of any SEBI order or any such authority. The requisite details in terms of the SEBI Master Circular dated November 11, 2024, are provided in Annexure A. 3. Mr. Rajendra Chitale, Independent Director (DIN: 00015986) of the Company, shall be completing his second term as an Independent Director on December 14, 2026, and consequently shall cease to be Director of the Company with effect from close of business hours on December 14, 2026. The Board of Directors noted the above and places on record its sincere appreciation for the valuable contributions made during his tenure as an Independent Director of the Company.
