Terms and Conditions of Compulsorily Convertible Preference Shares (CCPS) should be read as follows: a. On page 23 at Item No. 4, sub-point 6 (Voting Rights) of the table of Updated EGM Notice, while defining voting rights under CCPS, it has been stated under sub-clause 2 that “On all resolutions if the dividend remains unpaid for a period of 2 (two) years or more”. This was been included due to statutory provision under Section 47 (2) of the Companies Act, 2013. However, it is hereby clarified that above clause shall not be operative, as the Maximum Tenure of CCPS is limited to 18 Months from the date of Allotment.
