November 02, 2026 The General Manager, Listing Department BSE Limited Phiroze Jeejeebhoy Towers, Dalal Street, Mumbai- 400 001 Scrip Code: 540078 Dear Sir/Madam, Subject: Clarification Regarding Delay in Disclosure under Regulation 30 of SEBI LODR Regulations, 2015 With reference to your communication dated 2nd November 2026 seeking clarification regarding the delay in disclosure of the change in constitution of the Statutory Auditor under Regulation 30 of the SEBI (LODR) Regulations, 2015, we wish to submit the following clarification: The Company had submitted a Corporate Announcement to the Stock Exchange on 31st October 2026 under Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, intimating the change in constitution of the Statutory Auditor, M/s. Gokhale & Sathe, Chartered Accountants, into M/s. Gokhale & Sathe LLP, with effect from 27th August 2026. The delay in filing the disclosure was inadvertent, as the email communication received in this regard was inadvertently missed by our team. Consequently, the Company unintentionally failed to disclose the said material event to the Stock Exchange within the prescribed timeline of 24 hours. Further, we wish to clarify that there is no change in the Statutory Auditor of the Company. The only change is that the audit firm M/s. Gokhale & Sathe, Chartered Accountants, has been converted from a firm into a Limited Liability Partnership (LLP). Accordingly, the Statutory Auditor and the tenure of their appointment remain unchanged. We sincerely regret the oversight and acknowledge the delay in compliance. The Company has taken note of the same and shall strengthen its internal monitoring mechanisms to ensure that all material events are duly identified and disclosed within the prescribed timelines going forward.
