(“Metaldyne”), without any admission of liability by the Company, to settle the civil suit filed by Metaldyne against the Company, titled Metaldyne Powertrain Components Inc. v. Sansera Engineering Limited, Case No. 2:21-cv-03588-BHH, pending before the United States District Court for the District of South Carolina, Charleston Division (“Lawsuit”). Under the terms of the Settlement Agreement, the Company has agreed to pay an amount of USD 2,000,000 (Two Million United States Dollars) to Metaldyne, in full and final settlement of the Lawsuit. The financial exposure is expected to be mitigated through insurance. As per the terms of the confidential release and settlement agreement, the Company is required to pay an amount of USD 2,000,000 to Metaldyne Powertrain Components Inc on or before July 30, 2026, towards full and final settlement of the matter. The aforesaid litigation was also disclosed under the section relating to outstanding litigations and material developments in the Company's Prospectus (offer documents) dated September 17, 2021. Except the payment of settlement amount, there is no material financial implication on the Company arising out of the said order.
