Apropos the captioned subject, we wish to inform that the Nomination and Remuneration Committee
(Compensation Committee) of Board of Directors of the Company, by way of Circular Resolution passed
on July 16, 2026, has approved the grant of 6,189 (Six Thousand One Hundred Eighty-Nine) stock options
to an eligible employee of the Company pursuant to the KP Energy ESOP-2023.
A detailed disclosure in adherence to SEBI Listing Regulations read with the SEBI Master Circular dated
January 30, 2026, bearing reference no. HO/49/14/14(7)2025-CFD-POD2/I/3762/2026 issued by
Securities and Exchange Board of India is disclosed in Annexure-A.

2023”).

− Vesting of options may happen in one or more
tranches. There shall be a minimum vesting period of
one (1) year and the maximum vesting period of an
option granted shall not be greater than five (5) years
from the date of Grant.
Note: The requirements prescribed under sub-clauses (g) to (k), (m) & (n) of Clause 10 of Para B of
Part A of Schedule III of SEBI Master Circular HO/49/14/14(7)2025-CFD-POD2/I/3762/2026, dated
January 30, 2026, are not applicable.
