The acquisition shall be executed via share transfer from existing shareholders of Mayfair and upon completion of this transaction, the Company’s total shareholding in Mayfair shall increase from 60% to 91.75% of its issued share capital. Mr. Nikhil Chopra — currently serving as the Chief Business Officer for the Company, and Director of Mayfair — will be appointed as the CEO-designate for Mayfair and shall take over as CEO of Mayfair upon completion of the acquisition, subject to receipt of all requisite approvals. Concurrently, Mr. Michail Chopra will transition from his role as CEO of Mayfair to the role Founder & Strategic Advisor. Both appointments shall become effective upon completion of all formalities relating to the transaction.
