PROCEEDINGS OF THE EXTRA-ORDINARY GENERAL MEETING OF AARTI INDUSTRIES
LIMITED (‘AIL’)
The Extra-Ordinary General Meeting (EGM) held today, Saturday, October 31, 2026, commenced
at 11:00 a.m. IST through Video Conferencing (VC) and Other Audio Visual Means (OAVM) in
compliance with the circulars issued by the Ministry of Corporate Affairs and the Securities and
Exchange Board of India.
Welcoming the Shareholders, Board Members and the Invitees, the Company Secretary stated
about the presence of:
a) All the Board Members except the one Independent Director who could not make it due to
prior commitments,
b) The Chairperson of all the Committees of the Board.
c) Representatives from the Statutory & Secretarial Auditors and
d) A requisite quorum, to begin with the proceedings of the meeting.
He also stated that the requisite records and registers were made available for inspection by the
Shareholders electronically.
Welcoming all the Shareholders, Directors, Auditors and Invitees present for the meeting, the
Chairman Shri Rajendra V. Gogri called the meeting to order.
The Chairman stated that:
‐ Notice of the EGM dated October 1, 2026 had already been circulated to the
Shareholders. With the permission of all, it was taken as read.
The Chairman stated:
Aarti Industries continues to demonstrate resilience and adaptability in a dynamic global
environment. We are constantly evaluating our capital structure to ensure it remains
prudent, efficient and aligned with the long-term interests of the Company and our
stakeholders.
Today’s meeting has been convened with the objective to seek your approval for raising
capital, in one or more tranches, by issuance of securities whether rupee denominated or
denominated in one or more foreign currencies, by way of qualified institutions
placement(s) (“QIP”), preferential allotment, private placement(s), and/or any other
method as may be permitted under applicable laws by way of private offerings, institutions
placement(s) and/or any combination thereof or any other method as may be permitted
under applicable law for an amount up to Rs. 1000 crores. The proposed issue size of up
to Rs. 1,000 crores has been determined taking into account the Company's current and
future funding requirements, its scale of operations and growth plans. Being an enabling
limit, it provides the Company with the flexibility to raise funds, in one or more tranches,
as and when required, depending on prevailing market conditions.
Your Board of Directors has carefully evaluated the Company’s debt profile and funding
options. We are of the firm conviction that this capital raise, and the subsequent
deleveraging, if any, is a highly value-accretive step. It will fortify our financial foundation
and position Aarti Industries favorably for sustainable and long-term growth. We,
therefore, seek your trust and support in passing this special resolution.
He then invited Shri Suyog Kotecha, Managing Director and Chief Executive Officer, to give
performance highlights for the quarter and half year ended September 30, 2026 and rationale
behind the agenda set for the meeting convened today.
He particularly stated that;
When choosing a route, the Company will weigh the relative merits of each fund-raising
route. While a rights issue gives existing shareholders a pro-rata entitlement, other routes,
such as a QIP, private placement, preferential issue, may offer advantages in flexibility,
pricing certainty and access to long-term institutional capital, depending on market
conditions. The Company believes that keeping the ability to evaluate all permissible
routes, rather than committing to one in advance, is in the best interests of the Company
and all its shareholders. The potential dilution, if any, will remain within acceptable
thresholds and market norms, the business rationale for the proposed fund raising has
been clearly articulated; and adequate regulatory safeguards are in place to protect the
interests of shareholders.
The Company Secretary then stated that the facility for remote e-voting on all the resolutions as
set out in the Notice of the EGM had been provided to the Shareholders in proportion to their
voting rights as on the cut-off date of Saturday, October 24, 2026. The e-voting period
commenced at 9:00 a.m. on Wednesday, October 28, 2026 and concluded at 5:00 p.m. on
Friday, October 30, 2026. He also informed that voting by electronic means was also available
during the EGM to those Shareholders who had not already voted by means of remote e-voting.
The following items as stated in the Notice of EGM were then taken up for consideration:
SPECIAL BUSINESS (Through Special Resolution):
1 To approve raising of funds in one or more tranches, by issuance of securities by way of
private offerings, qualified institutions placement(s) and/or any combination thereof or
any other method as may be permitted under applicable law for an amount up to ₹ 1000
crore.
The Company Secretary thereafter invited the Shareholders to put forth their views/questions, if
any relating to the EGM.
Some of the Shareholders, attending the meeting through Video Conferencing means, expressed
their views / questions relating to the business and operations of the Company. After hearing from
the speaker Shareholders as above, the Chairman and the CEO replied to their queries and
questions.
The Company Secretary requested that Shareholders who had not already voted by means of
remote e-voting to vote. He mentioned e-voting to remain open for next 30 minutes after the
conclusion of EGM.
The Company Secretary then informed me that the Company had appointed M/s. BNP &
Associates, Practicing Company Secretary as a Scrutinizer to scrutinize the remote e-voting and
e-voting process in a fair and transparent manner. The results of the remote e-voting and e-voting
at the EGM will be declared within 2 working days of the conclusion of the EGM upon receipt of
the Scrutinizer’s Report. The same shall be posted on the Company’s website www.aarti-
industries.com and communicated to the Stock Exchanges viz. BSE Ltd. and National Stock
Exchange of India Limited.
